A Manufacturing Company is looking for a Commercial Counsel to join our growing team supporting the company's legal operations. The Commercial Counsel will help drive A Manufacturing Company's legal docket, contract negotiations, and various corporate matters directly counseling business clients on day-to-day, cross functional legal matters.

What You'll Be Doing:
  • Negotiate, draft, and review a wide variety of contracts such as sales agreements and supplier and vendor agreements, preferably in the automotive industry or adjacent.
  • Serve as the in-house resource for corporate transactions such as financing events, investments, liquidity events, M&A, etc.
  • Support corporate governance structure helping A Manufacturing Company define and manage appropriate risk tolerance.
  • Draft and maintain a variety of legal and business forms and documents, including form agreements.
  • Work closely with cross-functional partners across the company to identify and mitigate risk.
  • Prepare and deliver training, communications, and presentations to employees, management, and executives to drive policy.
  • Draft legal and research memorandums.

What We're Looking For:
  • 7+ years of legal experience required, with an emphasis on handling commercial transactions, in-house and/or at a law firm.
  • Significant experience negotiating, drafting, and solving issues for various types of commercial contracts, including those relating to manufacturing vendors, technology vendors, automotive suppliers, software, professional services, and environmental health and safety.
  • Strong negotiating skills, including experience with shaping strategy and focus across the company.
  • Understanding of automotive supplier contracting process preferred.
  • Strong written and verbal communication skills when communicating at all levels within team and across the company.
  • Ability to work in a fast-paced environment and comfort with the uncertainty associated with building a business.
  • Juris Doctorate and at least one state bar required.

Other Qualities We'd Love for You to Have:
  • Direct Hands-On Experience in One or More of Litigation, Employment, or Corporate Governance Matters.
  • Experience advising clients on European matters and managing outside counsel, preferably in Germany.
  • Experience in a battery startup or adjacent experience is also beneficial.
  • Experience with advanced materials technology such as technical undergraduate or as legal counsel. Preferably in the battery space.
