Job Responsibilities:
The Commercial Counsel role will support the development activities of A Renewables & Environment Company. The position will be an integral part of the Company's legal team, providing services to various internal departments, with a focus on the Development group. The role will be assigned the overall legal responsibility for a group of development projects, from the early stages, and will assist in the coordination with other groups such as EPC, land, permitting, and transmission. The role requires exceptional legal, project management, negotiation, and interpersonal skills. Responsibilities may include but not be limited to:
  • Manage PPA, IA, and other offtake review and negotiation processes
  • Manage legal aspects of transaction agreements, including project sales and acquisitions
  • Oversee the legal aspects of development agreements, including site control, permitting, and title agreements
  • Review consulting services agreements, master services agreements, and other general corporate legal agreements as needed
  • Manage legal aspects of due diligence processes for selected transactions
  • Manage outside counsel as needed
  • Manage paralegals and other staff as needed

Required Qualifications:
  • JD degree
  • Minimum 5 years of experience drafting and negotiating PPA, land, transmission, and related contracts for traditional or renewable energy projects, wind, solar, biomass etc.
  • Direct experience with project finance a plus, but not required
  • Strong work ethic and ability to self-start and adapt in a fast-paced, dynamic environment
  • Strong project, process, and organizational skills
  • Ability to effectively handle multiple projects simultaneously
  • Excellent written and verbal communication skills
  • Outstanding sense of humor
