Job Description: If you are a business-oriented, self-motivated commercial attorney who wants to be part of a dedicated, fun and talented legal team, we want to hear from you! This key role will work closely with business partners across the organization to provide practical and sound legal advice on a broad range of commercial matters. The successful candidate will have demonstrated experience with complex commercial contract negotiations and enjoy working in a fast-paced environment. This position will report to the Assistant General Counsel, Commercial. The position can be based near one of our corporate facilities in Eden Prairie, MN; Tempe, AZ; Fort Mill, SC; or Plano, TX.

What You'll Do Here
The Commercial Counsel may perform the following duties:
  • Review, draft and negotiate a variety of commercial agreements, including strategic partnership agreements, customer agreements, service agreements, software licenses, leases and fulfillment agreements.
  • Counsel internal stakeholders at all levels of the organization by providing clear and concise advice and creative solutions on timelines to meet business needs.
  • Drive best practices by maintaining and updating legal templates and playbooks and implementing improved contract management processes and tools.
  • Partner with internal stakeholders and Litigation team to resolve disputes that arise from existing commercial relationships.
  • Educate legal team members and internal stakeholders on commercial legal issues, best practices, templates, playbooks and processes.

What You'll Bring
  • Between two and seven years of relevant contract law experience, including experience at a law firm or an in-house corporate environment with commercial law
  • J.D. from an accredited law school with an excellent academic record.
  • Member in good standing of state bar (preferably of a state where one of our corporate facilities is located).
  • Strength in delivering practical, actionable advice to overcome challenges.
  • Ability to develop and sustain positive relationships with internal stakeholders and external vendors and customers.
  • Strong communication skills, including the ability to effectively communicate legal considerations to non-lawyers.
  • Professional maturity to take ownership of various assignments with limited supervision.
  • Ability to influence and provide effective advice at all organizational levels.
  • Working knowledge of data privacy and security issues, with experience drafting and negotiating data privacy and data security terms.
  • Detail-oriented, organized, efficient and resourceful with strong follow-through skills.
  • Ability to manage shifting priorities within a fast-paced environment.

We Would Love It If You Also
  • Have experience with hands-on drafting and review of technology contracts
  • Have experience working in a fast-paced corporate environment and multitasking
  • Have experience working with data privacy, information security, and AI considerations in contracts
  • Knowledge of privacy laws and regulations, including GDPR and CCPA is a plus

The compensation package for this role is based on multiple factors, such as job level, responsibilities, location, and candidate experience. The base pay ranges included below are specific to the locations listed, and may not be applicable to other locations.
