Inside the RoleThe Commercial Counsel is responsible for providing legal advice and counsel to strategic business units within DTNA and its North American subsidiaries on a wide range of commercial transactions and distribution issues. This position works closely with key stakeholders and vendor partners to provide proactive, strategic and pragmatic legal guidance and support in commercial, sales and aftermarket matters, to anticipate legal concerns, and to provide creative, problem-solving legal solutions in a dynamic business environment. Additionally, the Commercial Counsel aids other departments' efficiency by streamlining processes for and providing training on legal review processes.

Position offers a starting salary range of $117,000 - $150,000 USD
Pay offered dependent on knowledge, skills, and experience.

What You Drive at DTNA
- Provide business-focused legal advice and counsel to business units within DTNA and its subsidiaries on a wide range of commercial transactions and distribution matters.
- Research, analyze, and interpret proposed and existing laws and regulations and advise business partners on emerging commercial and distribution legal issues and risk management to ensure compliance with dynamic domestic and international legal and regulatory requirements.
- Manage, structure, draft, review, and negotiate complex commercial agreements, including but not limited to procurement, technology, and non-disclosure agreements, legal terms and conditions, as well as a broad range of legal documents related to customized commercial transactions.
- Advocate on behalf of the organization to negotiate contractual, commercial, and operational matters with external parties such as supplier counsel to mitigate legal risk in commercial transactions.
- Provide legal support for domestic and international vehicle distribution and development and sales of related services including drafting distribution related agreements and optimizing dealer network performance.
- Collaborate with cross-functional stakeholders across the organization to identify, monitor and address issues of legal risk in commercial transactions and distribution matters.
- Proactive improvement of operationalized internal processes and legal resources within the legal department and business units, including development of commercial templates, training materials, playbooks, guidelines, and best practices.
- Present and deliver trainings to business partners within DTNA and its subsidiaries, to drive efficiency in legal review processes.
Knowledge You Should Bring
- JD degree; licensed to practice law in Oregon or South Carolina or willing and eligible to apply for limited admission of house counsel under Oregon or South Carolina State Bar requirements.
- 2-5 years of relevant experience within a law firm, as an in-house counsel, or in a related industry.
- Experience drafting, negotiating, and advising on a variety of agreements.
- Ability to think strategically to anticipate legal issues and risks and offer solutions.
- Ability to work cross-functionally with internal and external stakeholders.
- Strong negotiating skills and solid business acumen and judgment under pressure, including the ability to set priorities, align plans and work effectively with multiple stakeholders to develop practical solutions to a broad range of legal and business problems.
- Excellent written and verbal communication skills, including the ability to relay complex legal issues clearly and be persuasive in a manner that is both direct and diplomatic, combined with an ability to build solid relationships across a diverse group of stakeholders with a wide array of professional backgrounds.
- Ability to drive decisions through consensus and influence change.
- Flexibility to learn and adapt to serve the growing needs of the business.
Exceptional Candidates Might Have
- Experience in the automotive industry, is preferred.
- Experience with project coordination and management of projects with multiple levels of interface between internal and external stakeholders, is preferred.
