Description:

An Energy Equipment and Solutions Company seeks a Commercial Counsel to join its highly collaborative legal team in support of the Company's continued growth. The Commercial Counsel will report to the Head of Legal. In this role, you will work with our commercial team on energy retrofit and technology transactions, predominately in the form of master services agreements, leases, loans, and project acquisitions. In addition, there will be ample opportunities to work on a diverse set of legal matters, across company functions, to position An Energy Equipment and Solutions Company for its next stage of significant growth.

Responsibilities and Duties:
  • Draft and negotiate project acquisition, lease, master service agreements, and loan documents.
  • Draft and negotiate a wide variety of commercial contracts, including those related to energy services, consulting, vendors, non-disclosure, financial and other agreements.
  • Provide legal guidance and support to the company's executives, sales team, managers, and employees on a broad range of legal issues related to energy as a service business.
  • Stay up to date with changes in laws and regulations related to energy as a service business and communicate these changes to the appropriate stakeholders within the company.
  • Provide training to employees on legal issues relevant to their roles and responsibilities within the company.
  • Collaborate with other departments within the company to ensure that legal issues are addressed in a timely and effective manner.
  • Manage the company's legal risk exposure by identifying and assessing legal risks and recommending and implementing risk mitigation strategies.

Required Abilities, Skills, and Education:
  • Juris Doctor degree from an accredited law school
  • Admission to New York, California, or Colorado bar preferred. Bar licensure to practice law as in-house counsel in Colorado required.
  • 2+ years of relevant legal experience
  • Excellent negotiation skills and experience negotiating commercial contracts
  • Analytical and problem-solving skills, with the ability to provide clear and concise legal advice to non-legal stakeholders
  • Excellent organizational skills with the ability to manage multiple projects simultaneously and prioritize effectively
  • Self-starter, can-do attitude combined with a strong sense of humility, collaborative working style, and ability to perform with little supervision
  • Experience with debt and project financing
  • Solar, storage or other energy services agreements experience a plus
  • Experience with IP, real estate, finance, construction and general corporate matters a plus
  • Combined law firm and in-house experience is a plus
  • Working experience with underwriters is a plus
  • Interest / familiarity with energy efficiency
  • Excellent ability to learn and to wear multiple hats
