Position Summary:
As Associate Counsel – Commercial Contracts, you will support the company's Go-to-Market team and other departments. This may include but is not limited to drafting, negotiating, and advising on An Application Software Company's commercial contracts with its customers, partners, and vendors, as well as supporting the business in other areas such as intellectual property, data privacy, compliance, and artificial intelligence.

The position will report to the Senior Counsel – Commercial Contracts.

Responsibilities:
  • Draft, review, negotiate, manage, and advise on all types of commercial contracts (including customer MSAs, DPAs, SOWs and terms of service, partnership and referral agreements, NDAs, inbound vendor agreements, etc.) and related documents (including amendments, customer RFPs, supplier forms, notice letters, etc.)
  • Partner with the Revenue department to improve deal An Application Software Company and achieve our sales goals by contributing to legal-related sales, strategic partnerships, and marketing matters. These efforts may include streamlining contracting processes, developing internal policies, managing intellectual property matters, responding to general inquiries from prospective customers, reviewing and/or developing legal and compliance-related marketing assets, etc.
  • Coordinate with outside counsel on pre-litigation matters and for jurisdiction-specific or specialized legal advice.
  • Perform other critical legal and compliance-related duties that may be required occasionally.

Qualifications:
To perform this job successfully, an individual must be able to perform each essential duty satisfactorily. The requirements below represent knowledge, skill, and/or ability.
  • Juris Doctor degree from an ABA-accredited law school, licensed to practice law in any US state, and good standing with the relevant bar association(s) in the US state(s) where licensed to practice law.
  • 2-4 years experience practicing transactional law, including some experience drafting and negotiating commercial contracts, preferably at least one year's experience practicing with an in-house legal department.
  • Location – this job may be performed remotely from any location in the United States. However, candidates located in the Denver area are preferred and will work on a hybrid remote/in-office model.
