Description:

Sheppard, Mullin, Richter & Hampton LLP, a global Am Law 50 firm, is seeking a mid-level Capital Markets Associate to join our Corporate Practice Group. This position can be based in any of our US offices.

Our capital markets lawyers lead financings across the full range of capital markets products, including debt, equity, and equity-linked transactions, for a sophisticated and highly regarded client base. What sets our training apart is the level of direct client exposure associates receive, and how early they receive it. Rather than spending years removed from the client relationship, our associates are brought into direct contact with clients from the start, taking on real responsibility, sitting in on key conversations, and building relationships that most lawyers don't develop until much later in their careers. This hands-on approach means associates grow faster and develop the judgment and client instincts that define a truly excellent lawyer, not just a technically skilled one. This is a rare opportunity to join a collegial team of experienced practitioners and work on sophisticated matters at a global level, with a level of client access and mentorship that is genuinely difficult to find elsewhere..

Responsibilities and duties include, but are not limited to:
  • '33 and '34 Act matters
  • Capital Markets
  • IPOs, Follow-On and other Equity Offerings
  • High-Yield and Investment Grade Debt Offerings
  • Private Placement Offerings
  • Corporate Governance
  • SEC Reporting Matters
  • Exchange Listing Matters

The ideal candidate will have the following qualifications:
  • 3-5 years of experience advising issuers and underwriters on capital markets financings and ongoing governance/SEC reporting matters
  • Confidence managing day-to-day client relationships
  • Strong organizational skills and remarkable attention to detail are required
  • Operating under time pressures and still acting as a collaborative team player while handling and prioritizing multiple projects and deadlines is an essential need for this role
  • Candidates must be admitted to the bar in the state in which they are applying

Resume, cover letter, deal sheet, and law school transcript are required to apply.

The annual salary range for this position is $260,000-$365,000.
