Responsibilities:
In this role, you will be responsible for:
  • Meeting with and advising clients via telephone, in person, and video regarding a variety of business legal matters, such as intellectual property, entity formation and governance, contract law, purchases and sales, commercial leases, reorganizations and entity segregation strategies, asset protection, risk mitigation, etc.
  • Managing own caseload of business law cases with little supervision, including communicating with the Principal Attorney, paralegals, and clients to ensure cases are handled efficiently
  • Formulating creative solutions to complex legal issues facing business clients, with a goal to “get the deal done” while also protecting clients
  • Forming and nurturing long-term relationships with business clients and serving as a trusted advisor, providing practical advice in areas such as legal, insurance, finance, and tax matters
  • Collaborating with the firm Estate Planning attorney(s) of the firm on business succession, estate, and tax planning matters for business owners
  • Identifying further business and legal needs of business clients on an ongoing basis
  • Managing the firm's entity maintenance program (subscription services) by supervising paralegals and legal assistants
  • Reviewing, preparing, and supervising the preparation of legal documents by paralegals and legal assistants, such as Operating Agreements, Bylaws, business contracts, leases, and other entity documents
  • Filing and advising clients regarding trademark applications and trademark maintenance filings
  • Advising clients in commercial real estate purchases, including reviewing purchase and sale agreements, title reports, and other documents, as well as managing the transactions through to the close of escrow
  • Advising clients in asset/entity purchases and sales, including reviewing purchase and sale agreements, due diligence documents, and other documents, as well as managing the transactions through to the close of escrow
  • Analyzing and negotiating contracts with third parties and attorneys
  • Performing legal research to assist clients in their case evaluations and strategies
  • Contributing to increasing firm efficiency and development of processes and procedures
  • Performing additional related duties as assigned

To be considered for this role, you will have the following qualifications:
  • Juris Doctorate (J.D.) degree is required from an accredited law school
  • Empathetic with a strong desire to help others
  • License to practice law in California after passing the bar exam
  • Exceptional communication and problem-solving skills
  • Experience and comfort with various technology platforms, such as Wealth Counsel, ActionStep, Lexis Nexis, CaseText, and Gavel
  • Strong legal research skills
  • High attention to detail
  • Minimum of 8+ years of in-depth experience as an attorney in the area of Business Law
  • Fluency in the Spanish Language is preferred, but not required
  • Prolonged periods sitting at a desk and working on a computer
