Description:Sul Lee Law Firm, PLLC is a fast-growing, Dallas-based Business, IP, and Corporate Law Firm with a dynamic and enterprising client base—from startups to international corporations. As we continue to expand, we are seeking an experienced Business Transaction Attorney (Remote) to join our close-knit team.
The ideal candidate is a self-motivated, highly skilled attorney with a strong background in corporate and transactional law and a passion for serving growing businesses. This is a senior-level, primarily remote position offering the opportunity to work directly with firm leadership, mentor junior attorneys, and take the lead on complex transactional matters.
Please Note: This position requires the ability to attend in-person quarterly meetings at our Dallas, Texas office. All other work may be performed remotely.
Responsibilities:
- Lead and manage corporate transactions and M&A, including small mergers and acquisitions, business partnerships, business structuring, and joint ventures.
- Draft, review, and negotiate franchise disclosure documents and franchise agreements.
- Draft, review, and negotiate real estate transaction documents and other real estate documents.
- Draft, review, and negotiate a wide range of commercial agreements, including vendor contracts, NDAs, operating agreements, and purchase and sale agreements.
- Provide strategic legal counsel on governance, compliance, risk management, and growth planning.
- Oversee legal due diligence and coordinate with internal and external stakeholders on transactional closings.
- Advise clients in matters relating to real estate, commercial leases, and business operations.
- Contribute to firm development by mentoring junior attorneys and supporting strategic initiatives.
Qualifications:
- Juris Doctor (JD) degree and admission to the bar in at least one U.S. state. Texas licensure is preferred but not required.
- Minimum of 5+ years of relevant legal experience in corporate and business transactions.
- Demonstrated success negotiating and closing complex commercial and real estate deals.
- Strong business acumen and ability to align legal strategy with client objectives.
- Experience managing client relationships and supervising legal staff is highly preferred.
- Ability to thrive in a fast-paced, enterprising environment with shifting priorities.
- Must be comfortable working independently in a remote environment.
- Must be able to attend quarterly in-person meetings in Dallas, Texas.
