Shulman Rogers is seeking a mid-level corporate attorney with a strong background in corporate and emerging companies' work to join our growing transactional practice. The ideal candidate will have 3+ years of experience working across a broad range of complex transactional matters, including mergers and acquisitions, private equity, venture capital, and finance. In addition, the role involves advising startup and emerging growth clients throughout their lifecycle. The role is client‑facing and offers immediate responsibility, hands‑on deal experience, and daily collaboration with Shareholders and colleagues across the firm.Primary Duties and Responsibilities:
- Provide guidance on legal and regulatory issues related to corporate and transactional matters.
- Draft and negotiate transaction documents and manage related due diligence.
- Manage transaction closings and coordinate with clients, investors, and opposing counsel.
- Assist in structuring transactions and developing deal strategy.
Qualifications and Skills:
- J.D. from an accredited law school.
- 3+ years of experience representing clients in business transactions, particularly in M&A, private equity, venture capital, and finance.
- Maryland Bar admission (or willingness to obtain); DC and VA admission are a plus.
- Strong drafting and negotiation skills.
- Entrepreneurial mindset and enthusiasm for transactional work.
