Key Responsibilities:
  • Advise clients on business formation, restructuring, and dissolution.
  • Draft, review, and negotiate core corporate documents, including operating agreements, shareholder agreements, bylaws, and buy-sell agreements.
  • Handle mergers, acquisitions, divestitures, and sales of business assets.
  • Counsel boards of directors and executives on governance and fiduciary responsibilities.
  • Guide clients through ownership transitions, capital restructuring, and partner exits.
  • Provide strategic legal advice on franchising and related business model decisions.
  • Collaborate with clients and internal teams to ensure accurate, timely execution of transactional matters.

Common Matter Types may include but not limited to:
  • Starting, restructuring, or dissolving a company
  • Mergers, acquisitions, or sale of business assets
  • Drafting and negotiating governance and ownership documents
  • Board of directors and governance matters
  • Ownership disputes, changes in control, and capital restructuring
  • Franchising matters

Skills, Knowledge and Expertise
  • Juris Doctor (JD) from an accredited law school and active membership in the Florida Bar
  • Minimum of five (5) years of experience in business transactions, corporate law, or M&A
  • Proven ability to draft precise, reliable transactional documents
  • Strong organizational skills with the ability to manage multiple deals and deadlines simultaneously
  • Excellent communication skills with the ability to advise and persuade diverse stakeholders

Preferred Qualifications:
  • Experience with mid-market mergers and acquisitions
  • Familiarity with multistate or cross-border transactions
  • Background in advising privately held or family-owned businesses on governance and succession issues
