Description:
An International White Shoe Law Firm seeks an Associate (Senior) in
New York, NY to aid partners and senior associates in formulating a
legal strategy based on research of the law and analysis of facts
affecting client matters in these sophisticated areas of law. Requires
JD, LLM or foreign equivalent and four years of experience as an
Associate or related occupation. Must include 4 years of experience in
each of the following: Structuring private equity investments (e.g.
analyzing the use of alternative investment entities, parallel funds and
corporate blockers, the appropriate financing arrangements) to ensure
the most efficient economic and regulatory structure for U.S. federal
income tax purposes; Advising sponsors in large scale private equity
fundraising transactions, including advising desirable fund structure,
drafting governance documents and tax disclosures, and negotiating
agreements with investors; Negotiating and drafting U.S. federal income
tax terms of private equity, debt financing and financial instruments;
Performing tax analysis and structuring, such as U.S. trade or business
analysis, for complex asset-backed financing transactions and real
estate mortgage investment conduits; Negotiating and drafting U.S.
federal income tax terms and disclosures in chapter 11 restructuring
proceedings as well related financing. Must be admitted to practice law
in the State of New York.
