Job Summary:
A National Law Firm seeks an Associate to join the Tax group of the Firm's national Public Finance practice. This dynamic role is ideal for an attorney with experience or interest in developing their knowledge and skills in public finance, tax (Section 103), and tax-exempt bonds while working closely with experienced, nationally recognized partners.

This full-time position may work out of either our Omaha, NE or Spokane, WA offices.

Responsibilities:
  • Conduct tax-related due diligence to support the tax exemption or other tax advantage of municipal bonds
  • Draft tax documents, forms, and tax-related closing certifications and agreements
  • Draft or review tax disclosure for official statements
  • Advise attorneys and clients regarding tax favored structuring of municipal debt financings
  • Assist attorneys and clients with arbitrage rebate compliance, advising issuers and conduit borrowers with respect to rebate and other arbitrage compliance matters
  • Represent clients in examinations of bond issues by the Internal Revenue Service
  • Provide advice concerning tax accounting of bond payments such as matters relating to bond discount and bond premium
  • Assist with tax-related matters concerning interest rate swap transactions
  • Counsel clients and other participants regarding miscellaneous tax issues such as original issue discount, market discount, bond premium, interest rate swaps, issuing bonds on a forward basis
  • Serve as counsel to issuers, borrowers, and others seeking guidance regarding the federal income tax implications of owning or selling tax-exempt bonds
  • Research changes in tax law and preparing white papers or other informational documents for internal and external distribution

Qualifications: Education and Experience
  • Must be currently admitted to practice in Washington or Nebraska with an active bar license in good standing or able to be admitted within the first year of employment
  • 1+ years experience in practice of public finance or tax law preferred
  • LL.M. in taxation preferred but not required
