The Associate General Counsel provides expert legal services for A Wide Range of General Dental Care. Gives legal guidance and opinions based on experience, expertise, governing law, and organizational strategies. Primary areas of responsibility include contract negotiation, real estate transactions, support for the board of directors, compliance, corporate governance, privacy, and claims/litigation management.

Essential Job Functions:
  • Negotiates, drafts and reviews complex documentation for key areas of operations.
  • Works closely with senior executive officers, leadership team and management to advise them on changes in laws and regulations, evaluates their impact and helps develop El Rio's response to such changes.
  • Provides expert legal services to departments and performs special legal assignments of major importance in a highly complex legal field.
  • Supports the community volunteer board of directors, which under federal FQHC regulations has policymaking responsibility for the organization.
  • Provides advice and guidance on corporate governance.
  • Creates and finds interpretations and strategies that can accomplish the uncommon in the law.
  • Provides support for real estate transactions and issues, including negotiating and drafting, development and build to suit agreements, leases, real estate purchase agreements, financing agreements, design build and construction agreements and other transactional documents.
  • Provides support to the contracting department as needed on complex contracts, contract disputes and development of contracting tools. Assists in the preparation and review of contracts.
  • Provides support to the risk management department as needed on claims and litigation management. Oversees case progress and outside counsel services. Provides internal support for legal proceedings, including in-depth understanding of the organization's operations and interrelationships.
  • Provides support to the compliance department, including advice and guidance on legal and regulatory issues.
  • Prepares and files, as appropriate, documents for the formation and operation of business entities, such as corporations and limited liability companies.

Minimum Education and Experience:
  • Juris Doctor (JD) degree from an accredited college or university.
  • Ten (10) years' experience in contract law, litigation management and federal regulation of health care.

If applicable, an equivalent combination of education and experience may be considered, and must be directly related to the functions and responsibilities of the job.

Required Licenses, Certifications, and Registrations:
  • Licensed and in good standing with the State Bar of all States where admitted to practice.
  • Level I fingerprint clearance card: current valid and in good standing or have applied for it within seven working days after beginning employment.
  • Employees in this position are required to have reliable transportation that can meet any operational reassignments of the organization during the workday. If an employee is driving during work hours, the employee is required to possess a valid driver's license and must comply with Arizona vehicle insurance requirements.
