Associate General Counsel

Role & Responsibilities:
As the Associate General Counsel your responsibilities will include:
  • Oversee outside counsel (and advise the General Counsel, as appropriate) to draft and negotiate purchase agreements for real estate/entity purchases and sales, financing/refinancing loan documents, joint venture/preferred equity agreements, construction, entity operating agreements, and other related transactional documents associated with the Company's business transactions.
  • Oversee, manage and coordinate all legal due diligence for transactions including title, survey and environmental and contractual review.
  • Prepare closing documentation and work with leadership team and outside counsel on closing real estate transactions.
  • Oversee proper administration by the operations/property management team of residential lease agreements/addenda and brokerage, fee and commission agreements to ensure legal compliance.
  • Oversee outside counsel and work with the Asset Management/Commercial to negotiate, draft, and review commercial (e.g., retail tenants) leases, lease amendments, termination agreements, and other related commercial real estate documents (estoppels, SNDAs, letters of intent, default letters, and other correspondence, etc.).
  • Oversee outside counsel on the landlord/tenant disputes, collections, litigation and appeals.
  • Advise the Company's operations teams on general landlord/tenant litigation best practices and advise on particularly complicated landlord/tenant matters.
  • Oversee corporate compliance for all the Company's affiliated legal entities including maintenance of entity/ownership charts, articles of organization, EINs and state tax IDs, annual reports, business licenses, certificates of authority, DBAs, name changes, corporate stock certificates, board minutes, and drafting resolutions.
  • Assist the General Counsel with quarterly and annual board meetings and related reporting requirements.
  • Oversee the Company's Investment Committee and other committee compliance and submittal responsibilities.
  • Oversee general Company compliance with all policies, procedures and strategic goals.
  • Oversee contract management compliance among the Company's business units to ensure consistent implementation of commercial contracts with the Company's diverse slate of vendors and suppliers.
  • Maintain standardization and uniformity in the Company's approach to contractual policies, forms, terms and conditions and oversee the Company's contract management procedures and risk tolerance.
  • Leverage technology and process improvements to streamline contract review, compliance tracking, and reporting.
  • Consult with, and be a legal resource to, the Company's Human Resources team and outside counsel on any current, or potential, employee-related legal matters and maintain updated documents to ensure risk adjusted employee separations and other related HR/employment Company matters.
  • Work with insurance consultants, brokers, insurance carriers, and/or outside defense counsel to manage employment practices and workers compensation litigation.
  • Oversee policy, procedure and process on the Company's insured and uninsured litigation including communication and management of outside counsel and insurance consultants and defense attorneys.
  • Work with the Company's Insurance and Risk Manager to advise the General Counsel on litigation status and strategy of claims.
  • Manage and mitigate legal risks by designing and implementing Company policies and procedures with the General Counsel to reduce risk.
  • Champion a culture of compliance and proactive risk management across the Company.
  • Stay current on relevant changes to legislation, rules, and regulations which may impact the Company and/or industry.
  • Work with the Insurance and Risk manager to oversee strategic plans for risk management, safety and insurance compliance and update and maintain the Company's annual high-risk register.
  • Oversee and manage the legal aspects of all insured claims and periodic claims reviews.
  • Select, manage and oversee outside legal counsel including fee negotiation, legal invoice management and administration.
  • Assist the General Counsel to manage and attend Board meetings and ensure general compliance for the affiliated nonprofit, hope + door.

About You:
You might be a great fit for this role if you have:
  • You have a 4-year Bachelor's degree, J.D, and licensed to practice law in Pennsylvania
  • State Bar Admission in Pennsylvania active and in good standing (or the ability to quickly obtain PA licensure)
  • At least 3 years of experience as a real estate and/or corporate transactional attorney or in-house counsel with a real estate investment, development or owner/operator property management company. Commercial leasing experience is also preferred.
