Role Profile
A Renewable Energy Semiconductor Manufacturing Company is looking for a highly capable Associate General Counsel to join our Legal team. This role is based in our Scottsdale, AZ Headquarters and will report to the Deputy General Counsel. This role is critical to our mission and supporting our teams that drive growth of our company. At a glance, this position is responsible for a wide variety of transactional, contract, compliance, corporate, operational and other legal matters handled by the Legal Department within a fast-growing, mission-driven, international business that is committed to solving the global water crisis.

This role will:
  • Lead the review, analysis and drafting, and help contribute to the negotiations of various types of contracts and other transactional legal documents associated with the company's day-to-day business (e.g., supply, installation, maintenance and service agreements, distribution agreements, brand licensing agreements, NDAs, warranties).
  • Assist the Business Development team with transactional and regulatory strategy associated with product and services sales and water purchase agreements in multiple countries.
  • Represent the company with respect to a wide range of legal, regulatory, compliance, real estate, and transactional matters, including, potentially before regulatory agencies, in forming strategy relating to the application of laws and regulations to a novel, first-of-its kind technology.
  • Provide legal and professional support to personnel in the corporate headquarters and other field offices regarding a wide range of legal, operational and compliance matters.
  • Supervise legal personnel supporting manufacturing operations.
  • Select and manage outside counsel.
  • Prepare legal budgets and recommend legal reserves.
  • Manage and resolve disputes.
  • Provide training to corporate, field, management, and operations personnel.
  • Perform other job-related duties as assigned or apparent.

The ideal candidate is someone who embraces a mentality of “Yes, If” and has the ability to think creatively in terms of transactions and drafting and approach to legal and compliance issues, and to quickly pivot to adjust to business needs. They've got a sense of urgency and are relentless in helping the company meet its business and compliance goals. The candidate must have excellent communication and collaboration skills and high “emotional IQ” to regularly and productively communicate with all internal “customer” departments (including executives) to drive timelines and deliverables for the Legal Department and the company. Excellent judgment and high integrity are important.

Requirements:
  • 10+ years of experience as a practicing attorney (preferred), including corporate and transactional legal matters, and contract drafting
  • Some prior in-house counsel experience (preferred)
  • A juris doctor
  • Licensed to practice law in at least one US state (and, if not licensed in Arizona, eligible and willing to apply for an Arizona Certificate of In-House Counsel within 90 days of employment)
  • Experience managing legal professionals (preferred)
  • Prior exposure to, and experience in, one or more of these areas is a plus: drinking water, bottled water and/or beverage industry; consumer packaged goods; corporate formation and compliance; export/import (including customs, duties & tariffs); government contracts; grant work, awards and donations; international transactions and tax; joint ventures; labor and employment; M&A and project finance; manufacturing, R&D, technology and intellectual property support; real property issues; regulatory matters (EPA, FDA, FCC & state-, local- and international-equivalent bodies); and start-up experience in a technology-enabled company
  • Extended hours and weekend work may be required, including accommodating the schedules of personnel, legal counsel and other third parties in multiple countries
  • Overnight travel may be required up to 10%
