About the role:
The Associate General Counsel plays a critical role in providing comprehensive legal support to the organization. This position is responsible for managing complex legal matters, ensuring compliance with applicable laws and regulations, and mitigating legal risks across various business functions. The Associate General Counsel collaborates closely with the General Counsel and senior leadership to align legal strategies with business objectives thereby facilitating informed decision-making. This role also involves overseeing contract negotiations, managing litigation, and advising on corporate governance and regulatory issues.

Minimum Qualifications:
  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to practice law in at least one U.S. state or jurisdiction.
  • Minimum of 5 years of legal experience, preferably in a corporate or law firm setting with exposure to professional services or software industries.
  • Strong knowledge of technology contracts, regulatory compliance, data privacy regulations, corporate governance, employment law, and intellectual property.
  • Significant experience drafting MSAs, SOWs, and subscription-based license agreement.
  • Familiarity with software development methodologies, APIs, and project management terminology.
  • Demonstrated ability to manage multiple legal matters simultaneously and provide practical business-oriented legal advice.
  • Strong negotiation skills and experience leading cross-functional legal projects.
  • Preference for candidates with insolvency law experience, including bankruptcy and FCRA regulations

Responsibilities:
  • Provide legal advice and counsel to internal stakeholders on a wide range of issues including contracts, compliance, privacy, intellectual property, employment, and regulatory matters.
  • Draft, review, and negotiate complex contracts and agreements to protect the organization's interests and ensure legal compliance.
  • Monitor changes in laws and regulations relevant to the industry and advise the organization on necessary adjustments to policies and practices.
  • Manage and oversee litigation and dispute resolution processes, coordinating with external counsel as necessary.
  • Support corporate governance activities, including board meetings, corporate filings, and compliance with fiduciary duties.

The annual salary for this role is currently $130,000.00-$200,000.00. The Company's salary ranges are determined by role, level, location and alignment with market data. Individual pay is determined through interviews and an assessment of various factors, including job-related skills, relevant education and experience, abilities of the applicant and equity with other team members. The salary range listed here is subject to change at any time, at the Company's discretion, and does not alter in any way the at-will nature of the employment relationship
