Marquee Brands is seeking a highly motivated and skilled transactional associate with 3–5 years of experience to join our legal team. The ideal candidate will have substantial experience in both general corporate transactional matters and mergers and acquisitions (M&A), with a specific focus on the media, entertainment, or technology sectors. The associate will play a key role in drafting, negotiating, and executing a wide range of deals while providing strategic legal counsel to our business partners.

Here's what you will do here
  • Draft, review, and negotiate a wide range of agreements for internal client groups, including but not limited to license agreements, media related agreements such as FAST channels and clip licenses, retail and/or e-commercial operations, non-disclosure agreements, influencer agreements, event agreements purchase agreements, merger agreements, and term sheets.
  • Support internal stakeholders and external counsel on the review and execution of M&A transactions. Coordinate and conduct legal due diligence, identifying and assessing risks related to potential transactions. Provide strategic guidance on mitigating those risks. Providing legal counsel in connection with and execute post-closing acquisition related matters
  • Anticipate and identify issues and risks, recommending potential solutions, and identifying trends relating to licensing, corporate law, regulatory matters, intellectual property, employment law, technology, privacy and data protection, marketing, advertising, and promotions.
  • Advise on a broad range of legal matters and compliance activities including responding to business questions and advising the CLO and Executive Management Team to assist with business decisions.
  • Collaborate in the continuing development of the Company's commercial contracts to develop a scalable, business-centric approach.
  • Support corporate governance and related compliance.
  • Develop and operationalize policies, training, templates and workflows to allow business teams to move quickly while addressing key risks in substantive areas.
  • Assist CLO in managing litigation and other disputes involving the Company with the ability to drive practical and strategic decisions.
  • Identify, interpret, and advise on various legal issues and associated risks while considering business needs and strategic priorities.
  • Stay current on industry-specific trends and legal developments affecting the media, entertainment, and licensing sectors.
  • Implementing and overseeing corporate policies, procedures, and programs.
  • Assist in-house and outside counsel with ongoing general matters for the Legal Department, as required in the day-to-day functioning of the Company and the Legal Department.

You're going to need this to carry out this job
  • Juris Doctor (J.D.) from an ABA-accredited law school.
  • Admission in good standing to the state bar in the relevant jurisdiction.
  • 3–5 years of experience practicing corporate law at a reputable law firm or in-house legal department.
  • Proven experience handling complex M&A transactions, with a preference for experience within the media, entertainment, or technology industries.
  • Significant experience drafting and negotiating sophisticated transaction and commercial documents.
  • Strong analytical, communication, and negotiation skills.
  • Ability to manage multiple complex transactions and deadlines in a fast-paced environment.
  • Excellent project management and organizational skills.
  • Ability to work both independently and as part of a collaborative, cross-functional team.

Salary $150,000 - $165,000 plus bonus
