Description:

The Associate General Counsel will report to the Senior Vice President & General Counsel and serve as a critical member of the legal team. This role will help to anticipate & mitigate legal, regulatory and business risks in the course of protecting the company's reputation and interests. The ideal candidate will have career training in a respected law firm and as in-house counsel in a global industrial, manufacturing business.

Duties and Responsibilities:
  • Responsible for reviewing, negotiating and drafting non-routine contracts having strategic significance. Supports Senior Counsel in negotiation, review and drafting a wide range of transactional arrangements.
  • Manages the company's Compliance Program, the compliance line, and administration of company policies and procedures, including GDPR and data privacy compliance, with the support of the Senior Counsel.
  • Conducts training for all levels of management and business personnel on company's Code of Ethics and Business Conduct, company policies, and others matters pertaining to business ethics. Facilitates the annual Code of Conduct questionnaire.
  • Supports the Vice President of Human Resources, and the global HR team, on employment agreements, separation issues, issues relating to compensation and benefit administration, labor negotiations, contract compliance, agreements, and labor agency administrative actions.
  • Manages the Company's insurance portfolio, including policy renewals and claim management.
  • Provides legal advice to Internal Audit, Finance, Tax and the business units of the company regarding policies and procedures that will assure legal compliance and support internal controls, including maintenance of records of the company in compliance with legal and business requirements.
  • Assists the Information Technology group in managing privacy and data security issues.
  • Assists the General Counsel with mergers and acquisition activity, including contract negotiations.
  • Manages enterprise-wide policy creation and revision in coordination with the General Counsel.
  • Directs outside counsel on a variety of legal matters, including budget management and invoice review/approvals.
  • Provides legal advice and opinions regarding material loss contingencies, internal controls, legal liability reserves and other financial reporting matters in connection with the outside auditors' review of the company's financial statements.
  • Ability to serve as a trusted advisor and strategic partner to the business unit leaders and a wide range of business, technical and operating personnel on a broad variety of legal and regulatory issues.

Education, Experience, Skills and Abilities:
  • BA/BS and JD Degree required from an accredited institution.
  • 7-10 years of law firm and significant in-house experience at a manufacturing company.
  • Member of at least one state bar.
  • A generalist background that encompasses corporate matters, manufacturing industry contracts, mergers and acquisitions, compliance, intellectual property management, policy creation, and litigation.
  • Must be a business-oriented legal counsel with the ability to provide solutions and strategies, and contribute positively to an open exchange of ideas and an atmosphere of communication and team spirit.
  • Demonstrated broad business orientation and ability to aggressively establish instant credibility as an attorney and business partner with cross functional perspective.
  • Excellent oral and written communication skills.
  • Diverse transaction and project management experience.
  • Demonstrated ability to plan, prioritize and organize multiple cross functional tasks.
  • Experience presenting to internal and external executives.
  • Experience in drafting and negotiating large commercial agreements.
