About the role:Job Summary:
Associate General Counsel II is responsible for the provision of legal advice and services to Northeast Georgia Health System (‘NGHS') and its affiliates under the supervision of the NGHS Deputy General Counsel or his/her designee.
This role provides broad legal advice and counsel to NGHS across multiple practice areas, including regulatory compliance, data privacy, licensure, employment, and medico‑legal matters. The position provides legal support on strategic and transactional initiatives and is responsible for drafting, reviewing, and negotiating a wide range of agreements and maintaining standardized contracting templates. Responsibilities also include developing legal training and resources, advising on contract disputes and terminations, and handling additional projects as needed.

Essential Tasks and Responsibilities
- Researches and drafts memoranda, opinions and correspondence on legal issues.
- Assures effective implementation of the contract management system throughout NGHS.
- Oversees, manages and works collaboratively on matters assigned to outside counsel engaged to represent or assist NGHS, including review, direction and supervision of outside counsel's legal work.
- Works collaboratively with NGHS attorneys, paralegals, executive coordinators, and other non-attorney staff assigned to work regularly or on specific projects, exhibiting NGHS Core Competencies in a manner consistent with NGHS Values.
- Serves on committees and assists in the formulation and implementation of policies and practices.
- Participates in corporate compliance or human resources investigations.
- Provides generalist advice and counsel to NGHS personnel on a spectrum of areas of law, including but not limited to those related to regulatory compliance, data privacy, state and federal licensure, employment, and medico-legal issues.
- Supports and assists senior attorneys in legal research, drafting, and advice and counsel on major strategic and transactional initiatives for NGHS.
- Develops and maintains up-to-date standard contracting terms and non-clinical agreement templates to streamline and enhance contracting efficiencies and standardization.
- Drafts, reviews, and negotiates agreements on behalf of NGHS entities, including but not limited to supply chain agreements, while ensuring compliance with applicable law and alignment with NGHS objectives and standard contracting parameters.
- In collaboration with other members of the legal team, develops and delivers training and resources to NGHS personnel on a variety of legal-related topics.
- Provides legal advice and counsel on contract disputes and terminations.
- Performs all other projects, duties, and responsibilities as assigned.
