Description:

Exiger is seeking an experienced Associate General Counsel to serve as a key legal partner to the business. Reporting to the General Counsel, this role will act as a corporate generalist, supporting a wide range of legal, compliance, and strategic initiatives across the organization. You will work closely with senior leadership, including the Global Head of Compliance, and play a critical role in enabling business growth while managing risk.

What You'll Do:
  • Serve as a trusted legal advisor to internal stakeholders across business, operations, and compliance functions
  • Draft, review, and negotiate a broad range of agreements, including commercial and government contracts
  • Partner with business development teams on RFPs, strategic partnerships, and growth initiatives
  • Support M&A activities, including due diligence, transaction structuring, and integration efforts
  • Advise on regulatory, compliance, and governance matters relevant to Exiger's operations
  • Enhance and scale legal processes, templates, and contract lifecycle management practices
  • Support intellectual property strategy and protection efforts
  • Contribute to the development and continuous improvement of the Company's compliance framework

  • Deep understanding of government contracting, including the FAR and related frameworks
  • Experience supporting mergers & acquisitions and managing due diligence processes
  • Exceptional analytical, drafting, and negotiation skills
  • Ability to manage multiple priorities in a fast-paced, high-growth environment
  • Excellent communication skills, with the ability to translate complex legal concepts into practical guidance
  • High level of ownership, responsiveness, and attention to detail

What You'll Need:
  • J.D. from an accredited law school and active membership in good standing with a U.S. State Bar
  • 7+ years of legal experience, with a mix of law firm and in-house experience strongly preferred
  • Proven experience drafting and negotiating commercial and government contracts
  • Familiarity with compliance programs and regulatory frameworks
  • Experience supporting corporate transactions, including M&A and investments
  • Working knowledge of corporate governance and entity management (e.g., resolutions, minute books)
