Duties: The Financial Services group provides financial institution and fintech clients with comprehensive regulatory, legislative, and transactional services. The practice group handles complex regulatory and transactional issues, investigations, and administrative enforcement actions and represents clients in legislative matters related to the financial services industry. Under the supervision of Partners, Counsel and Senior Associates of the Firm, the Associate will represent corporate clients, financial institutions and individuals in administrative enforcement actions, government investigations, internal investigations, and civil and criminal proceedings. The Associate will advise financial institutions with their regulatory compliance issues and work on matters within the supervisory jurisdiction of the Federal Reserve Board, the OCC, the FDIC, the CFPB, as well as state financial regulatory agencies.More specifically, carry out the following duties:
- Advise Firm clients regarding matters of law, legal strategy, lawful conduct, legal requirements, compliance and similar issues.
- Conduct and/or supervise legal research to ascertain and/or evaluate the law of one or more jurisdictions, state, federal and/or international, with respect to each issue.
- Identify practical and theoretical issues suggested by specific or general sets of facts.
- Analyze results in order to construct effective, alternative solutions to reach clients' objectives.
- Prepare and revise legal documents including regulatory filings, investigative memoranda, agency submissions, and supporting briefs.
- Attend firm seminars on U.S. legal issues.
- Actively observe and participate in client matters, including attending client meetings, strategy sessions, and reviewing relevant case documents.
- Attend meetings with clients and other interested parties, including travel where necessary
- Assisting senior attorneys to counsel multinational electronics, semiconductor, luxury goods, and publishing companies and government and state-owned entities on compliance with anti-bribery and anti-corruption laws, economic sanctions laws, export controls laws, anti-boycott laws, compliance risk assessments, and the development of compliance programs.
- Supporting senior attorneys in the representation of international shipbuilding conglomerates in cross-border litigations and international arbitrations by performing research on trade secret misappropriation, compliance with international carriage standards promulgated by the International Maritim Organization, builder liabilities, and maritime disputes.
- Assisting senior attorneys in conducting internal investigations related to potential violations of antitrust, anti-bribery and anti-corruption, export control, and sanctions laws for Fortune 500 multinational technology and global pharmaceutical companies.
- Drafting public disclosure and reporting requirements, including Form 10-K, Form 8-K, and Proxy Statements, for U.S. financial institutions regulated by the Board of Governors of the Federal Reserve System, the Federal Deposit Insurance Corporation, the Office of the Comptroller of the Currency, and federal and state banking regulators.
- Preparing research summaries for publicly traded companies regarding compliance with the Securities Act of 1934 and the Securities Exchange Act of 1934, including with respect to rights offering and securities offering, as well as marketplace rules, including rules and regulations of NASDAQ.
- Drafting, reviewing, and analyzing intercompany service agreements, joint venture agreements, non-disclosure agreements, and memoranda of understanding related to cross-border transactions for multinational companies.
- Assisting senior attorneys in advising international insurance companies with foreign and alternative investment options, including foreign currency securities and bonds, as well as advising on risk management and risk mitigation strategies through credit default swap, foreign exchange futures, and various hedging instruments.
