Position Summary:The Associate Director, Legal will be a key member of the U.S. Legal Team and will assist with A Biotechnology Company legal affairs in the US and globally. This attorney will provide strategic counsel and will draft and negotiate various types of contracts with external parties, review communications and filings, and provide other general legal and business support. The position requires a strong track record in legal drafting, oral and written communication, negotiation and client service, in addition to practical business sense. This position will report to the Director of Legal in our Cambridge, MA office. Key Responsibilities:
- Draft, review and negotiate contracts, including CDAs, MSAs, SOWs, consulting agreements, sponsored research agreements, commercial agreements, licensing agreements, manufacturing agreements, and MTAs independently and with minimal supervision.
- Provide practical, business-oriented legal advice and recommendations to internal clients.
- Coordinate across teams (clinical, commercial, research, human resources, finance and others) in contracting and other Legal matters.
- Assist in corporate governance matters, including implementation and oversight of corporate policies and oversight and management of corporate entities.
- Continuously improve standard form agreements and legal processes.
- Assist on other matters as needed.
Requirements:
- Juris Doctor from an accredited law school.
- Active membership and in good standing in a state bar.
- Minimum 6 years prior legal experience in a law firm or in-house counsel role is required (life science or pharmaceutical experience is a plus). Significant experience drafting and negotiating corporate and commercial agreements.
