As Associate Counsel, Sourcing and Supply Chain, you will be responsible for providing legal advice and guidance regarding a wide range of procurement and commercial legal matters, including contract drafting and negotiation, deal structuring, transactional risk assessment and support, and pre-litigation support.

Job Description:
Roles and Responsibilities:
  • Provide legal analysis and support for commercial purchasing and sales transactions, including structuring, drafting, reviewing and negotiating domestic and global contracts and software licenses.
  • Develop and maintain standard contract forms and other standard documents for the purchase of goods, services and software applications.
  • Develop and implement processes and procedures to deliver legal support efficiently and effectively.
  • Identify and provide guidance relating to regional, portfolio and transactional risks and risk mitigation.
  • Manage claims, disputes, and settlements arising out of procurement relationships.
  • Provide strategic and tactical advice regarding contract interpretation, claims and disputes.
  • Partner with various functions across Sourcing, Quality, Legal and Operations to provide strategic legal advice and continuously improve legal support of strategies and initiatives.
  • Develop and deliver training on legal contract, process and compliance matters.

Required Qualifications:
  • Juris Doctorate from an accredited law school.
  • Admitted to practice and in good standing with at least one US State Bar.
  • Minimum of 5-7 years of transactional commercial experience, with a strong emphasis on sourcing and/or sales transactions.
  • Knowledge of the Uniform Commercial Code (UCC) and U.N. Convention on Contracts for the International Sale of Goods.
