Description:
The Associate Counsel - Marketing & Media will be primarily responsible for handling a wide range of advertising and marketing matters, as well as drafting, reviewing, and negotiating commercial contracts, and providing general legal support and advice to the business.What you will do:
- Manage and protect the Company with respect to the advertising and marketing of products, including working closely with internal clients and outside entities to revise agreements and printed and video media to comply with the Company's requirements and relevant regulatory requirements.
- Counsel internal clients, including management and members of the Marketing, Brand, Creative, and Product Development teams, on risks and opportunities.
- Review and assist in the drafting and/or negotiation of advertising production agreements, insertion orders, influencer agreements, press releases, and agreements for live industry events.
- Advise on legal and creative issues during the development of television commercials, digital content, influencer campaigns, and print advertisements, and counsel on CARU/FTC compliance.
- Review all product packaging, instructions, and related documentation to ensure consistency with Company templates and internal/third-party requirements, legal compliance with respect to product claims and any third-party intellectual property usage, and safety compliance by escalating to other groups as necessary any products that may need additional safety review.
- Draft, review, and negotiate various commercial contracts and agreements, including but not limited to licensing agreements, supplier agreements, distribution agreements, agency agreements, independent contractor agreements, non-disclosure agreements, and trademark authorization/customs letters.
- Conduct trademark searches and clearances and consult outside counsel as necessary.
- Assist the Customer Service team on consumer product issues and help respond to outside agency complaints, such as the Better Business Bureau.
- Trains internal client groups to promote awareness of advertising compliance, intellectual property, safety, and copywriting issues and their implications on various functions within the organization.
- Provide accurate, relevant, and timely advice to business personnel on a variety of legal topics that relate to the Company's business, products, and services.
- Manage and mitigate risks by spotting potential legal issues and assist in designing and implementing policies and procedures. Ensures compliance with laws and regulations that apply to the Company's operations.
- Promote legal, compliance, and risk management best practices throughout the Company.
- Communicate with and manage third-party vendors such as external counsel and other legal consultants. Stays up to date with changes to relevant legislation that may impact the Company's business and operations.
- Assist in any other projects as directed.

What we are looking for:
- Bachelor's degree required
- Law degree required, and duly admitted or qualified to practice law in Florida, California, or be authorized in in-house counsel in the state where the office is located
- 5 + years of in-house experience in major company or law firm advising on advertising, marketing, and consumer product issues, and compliance with relevant state and federal regulations
- Ability to approach projects with a strategic mindset by anticipating future business, competitive and legal risks, and opportunities and offering creative solutions.
- Experience in drafting and negotiating advertising, marketing, intellectual property, and general business terms in business transactions.
- Strong organizational and project management skills.
- Highly passionate, problem solver with strong analytical skills.
- Excellent verbal and written communication skills.
- Proficient with Google Docs and other Google applications.
- Strong presentation skills
- Ability to deal effectively with diverse individuals at all organizational levels

What we offer:

The salary range for this position is $145,000.00 - 170,000.00/Yr. The base salary may vary based on experience, role tenure, performance, industry, and location. Eligibility for the annual performance incentive may apply. Jazwares is a multi-state employer, so the salary range may not apply to other states.
