Basic Function:HF Sinclair is seeking an Associate Counsel based in Dallas, TX. In this role, you will assist Deputy General Counsel and Associate General Counsel in performing the duties of the Legal Department. This role operates with independence and is expected to own execution, not merely advise, across a broad range of commercial, transactional, and operational legal matters.
Job Duties:
- Work with business, commercial, and operational (Midstream and Downstream) teams on a high volume of commercial agreements, including supply, services, logistics, procurement, and operational contracts.
- Independently reviews, negotiates, drafts, and interprets commercial agreements, to deliver pragmatic, risk-based legal advice aligned with business objectives.
- Proactively owns, executes, and delivers legal advice to stakeholders, including managing negotiations, transactions, and operational legal matters, rather than solely providing advisory support.
- Supports continuous improvement of legal processes and tools, and develop and maintain contract templates, negotiation playbooks, and internal guidance, and provide training to the business teams.
- Ability to independently handle legal processes commonly supported by paralegal functions, including contract management, transaction logistics, and maintenance of records, as needed from time to time.
- Advises management of the legal implications of commercial, administrative, and operational activities.
- Interfaces with outside counsel on various matters.
- May support matters outside core commercial focus as needed, including due diligence for acquisitions and dispositions, NDAs, pipeline-related matters, and other matters requiring legal assistance.
- Participates in continuing legal education programs and other activities as necessary to keep informed of developments in the law, new and proposed statutes and regulations, economic and social issues and other matters of interest to the Company and the energy industry.
Special assignments or tasks assigned to the employee by his/her superior, as determined from time to time in the supervisor's sole and complete discretion.
Experience:
A minimum of 3 years' experience as a licensed attorney is required.
Preferred Experience:
Previous experience working as legal counsel at a large public corporation or top tier law firm.
Education Level:
A minimum of a Jurisprudence Doctorate Degree from an American Bar Association accredited law school is required.
Required Skills:
Advanced legal drafting and analysis of commercial contracts; ability to manage complex legal projects; advanced reading and writing skills; interpersonal, problem solving, research and document review; and word processing skills. Required to be a member of the State Bar of Texas. Ability to effectively communicate with others, both written and verbal communication. Strong public speaking skills along with presentation skills. MS Office word processing skills.
Supervisory/Managerial Responsibility
No direct reports. May supervise and lead work of paralegals and outside counsel effectively.
Work Conditions:
Office based with travel up to 20% by land and air required. Subject to all weather and varying road conditions.
Petroleum refinery and out-of-doors environment including but not limited to chemicals, pressure vessels, tanks, and rotating equipment.
