The Opportunity:
Flock Safety is hiring an Associate Counsel, Commercial, who is a self-motivated and detail-oriented transactional attorney, enthusiastic about technology and its potential to drive safety in our communities. This position will report to the Senior Counsel, Head of Commercial and is ideal for an attorney early in their in-house career who is ready to independently manage contracts end-to-end with appropriate mentorship and escalation.

The ideal candidate will have a strong background in contract negotiation, drafting, and review, with a focus on revenue-generating contracts. This role will be critical in ensuring our legal and business objectives are met while mitigating risk, and will require significant cross-functional collaboration with the sales organization, engineering teams, and finance and marketing departments, while acting as an advisor to various business units across the organization.

Key Responsibilities:
  • Negotiate complex commercial contracts, with a particular focus on customer contracts, including SaaS, licensing, and services agreements
  • Act as a trusted legal advisor to Sales, Finance, Marketing, Product, and Customer Success, partnering closely to support revenue growth while managing legal risk
  • Identify and address potential legal and business risks in contracts
  • Prepare commercial agreements (MSAs, vendor agreements, licensing, etc.) with a knowledge of a customer's needs and ability to fulfill its requirements
  • Review contract terms and conditions to verify that they are in compliance with company policies and any applicable federal and state regulations
  • Clearly explain contract terminology to customers and other interested parties in simple, everyday language
  • Proofread, edit, and fact-check legal documents for accuracy and consistency
  • Track and maintain key terms/non-standard requests in a standardized manner (e.g., tracking in a CLM)
  • Collaborate comfortably and be enthusiastic about partnering in initiatives that influence all aspects of the business and require working with individuals throughout the company

The Skillset
  • 2-4 years of legal experience, with prior in-house counsel experience a plus, focusing on negotiating and drafting contracts/commercial agreements
  • Experience negotiating, drafting, and advising clients on technology-related commercial contracts
  • Experience with legal negotiation with government entities, private companies, and customers on contract terms and provisions
  • Comfort working with modern SaaS tools such as Slack, Salesforce, Docusign, and/or other cloud-based software tools
  • Experience partnering with business stakeholders to ensure agreements are consistent with internal corporate policies and processes
  • Ability to identify and analyze legal issues, help determine business terms and structure transactions, and provide advice to colleagues that balances business objectives and legal risk
  • Ability to identify, analyze, and suggest solutions for problems and customer complaints/concerns
  • Ability to manage a high volume of customer contracts simultaneously while balancing speed, accuracy, and risk in a fast-moving sales environment
  • Ability to exercise sound legal judgment in ambiguous situations, knowing when to escalate and when to move forward pragmatically
  • Excellent attention to detail, interpersonal and communication skills, and an enthusiastic, can-do attitude
  • Excellent organization skills and the ability to multitask on several projects simultaneously in a fast-paced business environment
  • Must be licensed to practice law in at least one (1) US State and in good standing
  • A good sense of humor and the ability to take on whatever comes your way is definitely a plus

The First 30 Days
  • Learn the ins and outs of the industry, our product, and our company
  • Familiarize yourself with our current ‘tools' today
  • Get involved with some contracts from the Flock sales team and start engaging with internal and external customers

The First 60 Days
  • Learn the cadence for contract review
  • Join and lead at least three calls with customers/opposing counsel
  • Engage with Sales Reps to find out pain points and how we can move contracts through the process easier
  • Start making recommendations on how to improve our process

90 Days & Beyond
  • By now you should start to feel pretty comfortable at Flock. You should be taking more and more ownership of your work and have started discussing Objectives with your manager.
  • You should understand the OKR process, your department's quarterly objectives, and your personal monthly objectives.
  • Meet regularly with stakeholders across different departments
  • Work with other functions in key contract areas

Salary & Equity
In this role, you'll receive a starting salary between $112,000 and $150,000 as well as Flock Safety Stock Options. Base salary is determined by job-related experience, education/training, as well as market indicators. Your recruiter will discuss this in-depth with you during our first chat.
