Job Summary:The M&A Associate works with Partners in processing/handling public and private company transactional work, drafting agreements, conducting due diligence processes who possesses 5-9+ years of relevant experience. This role will be located in our New York office.
Duties and Responsibilities:
The Corporate Associate will be primarily focused on Mergers & Acquisitions. This candidate is responsible for, but not limited to the following:
- Participating in all aspects of public and private company transactional work, including, without limitation, review and preparation of draft agreements, due diligence, tracking and coordinating signings and closings and other tasks appropriate based on years of experience and demonstrated ability.
- Coordination and oversight of due diligence efforts, including liaising with attorneys in specialty practice areas and/or co-counsel outside of EGS.
- May include mentoring and overseeing more junior attorneys.
- Mastery of organizational tasks (including keeping detailed checklists) and basic corporate drafting skills necessary for major corporate transactions such as mergers, stock or asset purchases, joint ventures and other collaborations, private placements and majority/minority investments.
- Candidate will be primarily focused on M&A (public and private) but may from time to time be involved with other corporate matters, potentially including IPOs, capital markets engagements and other.
- Other Ad hoc projects and assignments as needed.
Qualifications and Experience:
- Must have large public company experience.
- 5-9 plus years of corporate and securities practice experience.
- Proficiency in drafting documents, accustomed to overseeing diligence processes and managing detailed transactions from a process.
- Knowledge of basic securities laws and some exposure to public company transactional or capital markets work is required, along with a willingness to become more acquainted as necessary
- Good attitude and work ethic and demonstrated aptitude for fast-paced and multi-faceted work, including on multiple transactions and types of assignments simultaneously
- Ability to work productively with EGS colleagues (attorneys and non-attorneys)
- Excellent written verbal and written communication skills
- Foundation for readiness to interact with clients with limited oversight
- Eagerness to take on increasing responsibilities
- Qualified to practice law in New York.
- Active member in good standing with the New York Bar Association.
