Sands Anderson is seeking a driven Associate Attorney to join our growing Business and Corporate team in Williamsburg, VA. This is an excellent opportunity for an attorney eager to build a sophisticated transactional practice within a collaborative, client-focused firm.

Our corporate attorneys counsel business owners, investors, and organizations through the full spectrum of business and transactional matters. The work includes forming and structuring new ventures, negotiating complex contracts, guiding clients through mergers and acquisitions, and advising on governance, financing, and regulatory issues that impact day-to-day operations and long-term growth.

Responsibilities:
The successful candidate will assist in advising clients on a broad range of business and transactional matters, including:

Drafting, reviewing, and negotiating commercial contracts, operating agreements, shareholder agreements, and purchase/sale documents.
Supporting mergers, acquisitions, and other strategic transactions from due diligence through closing.
Advising on corporate governance, business formation, and succession planning.
Researching and analyzing state and federal laws affecting corporate and transactional matters.
Assisting with regulatory and licensing compliance for business clients across diverse industries.
Providing practical, business-oriented legal advice to help clients achieve their goals efficiently and effectively.

Qualifications:

J.D. from an accredited law school and active license to practice law in Virginia.
3+ years of experience in corporate, business, or transactional law preferred; candidates with strong interest in developing this practice area are encouraged to apply.
Exceptional research, drafting, and analytical skills.
Strong attention to detail and ability to manage multiple projects in a fast-paced environment.
Commitment to providing practical, business-minded counsel that advances client objectives.
