General Function:
The Assistant General Counsel role will support Professional Solutions North America and the Strategic Contract/Business Services “center of excellence” for NA covering a broad variety of businesses and functions. This attorney will work with internal clients across multiple geographies and functional areas and must be a team player that is adept at handling a large volume of fast-paced projects from a variety of stakeholders across the organization. The Assistant General Counsel will work under the direct supervision of the Associate General Counsel – Professional Solutions and Strategic Transactions/Business Services.

Major Duties and Responsibilities:
Support Med-Tech and other Professional Solutions Initiatives
  • Day-to-day advice and counsel on a variety of healthcare-related agreements and projects relevant to the Company's growing portfolio of new technologies, partnerships and strategic acquisitions in Med-Tech.
  • Provide independent legal advice and business partnering for brand-related strategy to Professional Solutions and other stakeholders focusing on Product, Commercial, and Go-To-Market (GTM) activities across the Med-tech ecosystem in the region.
  • Liaise with business partners dedicated to instruments, key accounts and commercial distribution services channels.
  • Strategic advice and counsel on special projects and other key growth initiatives, as needed.

Lead Complex Commercial Transactions

  • Structure, negotiate and draft various types of commercial contracts including management services agreements, promotional and marketing agreements, talent agreements, supply and lab agreements, insurance, and government agreements.
  • Advise various business units and functional teams to support project objectives, proactively identify and address related risks.

Coordination of Shared Services

Partner closely with other shared services departments including Information Technology Security, Privacy, Risk, Finance, Tax, HR, Environmental Health & Safety and other “centers of excellence” in order to balance value and risks in Company transactions.

Contract Management
  • Responsible for the continuous improvement and scalability of strategic transactions, including managing contract deadlines, policies and procedures to simplify and streamline contracting processes.
  • Organize and prioritize daily administrative responsibilities and projects with the Associate General Counsel to ensure important matters receive top priority.

Basic Qualifications:
  • JD/LLM from an accredited law school and excellent academic background
  • Licensed to practice law in New York or another state
  • Minimum 5 years of experience with a private law firm or corporate legal department (or a combination thereof) covering a mix of complex strategic agreements, corporate, M&A, and complicated in-depth projects
  • FDA, Sunshine Act, anti-kickback expertise required with familiarity advising medical device, pharma/life sciences or biotech companies preferred
  • Superior writing, communication, and research skills
  • Organized and detail oriented with strong project management skills
  • Ability to influence key stakeholders and all lines of business and clients, including cross-border
  • Self-motivated with the ability to work independently
  • Strong problem-solving skills, including demonstrated ability to think strategically
  • Ability to adapt to constantly shifting priorities, and allocate resources appropriately
