Position Description:

The system is used in hundreds of community hospitals, large academic facilities and major IDNs across the country. We are seeking a highly-motivated and pragmatic Assistant General Counsel to join our Legal team. Reporting to the General Counsel, this role will provide business-minded legal support across multiple functions, including commercial, regulatory, corporate governance, and compliance matters. The ideal candidate brings a strong background in the medtech, pharma or other life sciences sector, and experience in a fast-paced, start-up company environment. The Assistant General Counsel will serve as a key legal advisor to the business, providing strategic and practical legal counsel across corporate, securities, and healthcare regulatory law. This role will lead legal efforts related to corporate governance, SEC compliance and legal risk management. The successful candidate is expected to become a trusted partner to senior leadership, with a focus on supporting R&D and commercial strategy while ensuring company adherence to compliance in a complex regulatory environment.
Responsibilities:
- Corporate Governance/SEC: Manage a corporate attorney handling SEC compliance; oversee drafting and filing of SEC disclosures; support corporate governance best practices and initiatives, including board and committee support as needed; manage governance documents and corporate records; ensure compliance with Regulation FD and Nasdaq rules; support insider trading policy administration.
- Healthcare Regulatory & Compliance: Provide counsel on FDA, OIG, CMS and other federal agency rules (e.g., AKS, FCA) as well as state regulations, data privacy (e.g., HIPAA), and other laws impacting life science companies. Advise re HCP engagement, advertising and promotion, market access and cross-border arrangements, proposing practical, compliant solutions aligned with business strategy.
- Employment: Advise on employment law across jurisdictions; draft and advise on employment agreements and policies; support sensitive HR matters and legal aspects of executive compensation and equity programs.
- Risk Management: Advise internal stakeholders such as product and engineering teams on legal risk, help design internal policies, and support training, monitoring and audit activities of the company's healthcare regulatory compliance counsel as needed.
- Contracts: Oversee drafting, review, negotiation and interpretation of a wide range of R&D and commercial agreements, including complex licenses and financing transactions as well as vendor, SAAS customer, distribution, and clinical research contracts.
- Operations: help implement cost and time-saving processes, controls and automation, including software integration and support for IronClad CLM to enable efficient and scalable contracting. Contribute to Ceribell's success by participating in other duties and responsibilities as requested or needed.
- Intellectual Property: help support trademark and patent applications and other IP functions as needed.
- Management: manage outside counsel and collaborate cross-functionally to support business goals, including coaching and mentoring others. Excellent interpersonal and behavioral skills to build strong relationships and earn trust, including effective communication, problem-solving ability, time management and prioritization, continuous learning, empathy, teamwork, and self-awareness.
Requirements/Qualifications:
- Juris Doctor (JD) from an accredited U.S. law school and active member in good standing of at least one U.S. state bar (California preferred).
- 15+ years of progressively responsible legal and compliance experience, including a law firm background and in-house experience supporting at least one life science, healthcare, or medical device company.
- Strong knowledge of FDA, CMS and SEC regulatory landscape, data protection and privacy laws, and general commercial law relevant to the medtech industry. Clinical development legal experience preferred.
- Proven ability to manage multiple priorities, communicate with cross-functional teams, and provide business-oriented legal advice. Start-up company experience preferred.
Compensation Range:
$295,000 - $330,000 USD
A candidate's final salary offer will be based on their skills, education, work location and experience, and thus it may differ from the posted range. Compensation may also include bonuses consistent with Ceribell's corporate compensation plan.
