Position Summary:The Assistant General Counsel will work with the firm's General Counsel in supporting the firm's legal needs.
The firm has one available position in either Long Beach, CA; Walnut Creek, CA; Bellevue, WA or Portland, OR. Some positions at Novogradac may be open to remote or hybrid work arrangements depending on business needs. Please discuss available options with your recruiter.
Your Contributions and Responsibilities
- Assist the General Counsel in advising and representing the firm in connection with a variety of legal and contractual matters, including but not limited to:
- Providing legal guidance to firm professionals concerning client matters, including but not limited to navigating client disputes and claims, compliance with professional standards and regulations and licensing issues.
- Providing legal advice and assistance to partners and employees with respect to preparation of the firm's client engagement letters, master services agreements, responses to requests for proposals, subcontractor agreements, Kovel agreements, non-disclosure agreements, SaaS agreements, and other client and third-party related agreements.
- Independent management of subpoena compliance and other court-related matters.
- Work with Facilities Dept. to review and provide legal guidance concerning new leases, renewals and other real estate documents for the firm's premises throughout the country.
- Protection of the firm's intellectual property, including but not limited to advising the firm concerning fundamentals of IP protection and enforcement and coordination with and oversight of outside counsel concerning more complex matters.
- Investigation and handling of employment-related legal issues.
- Management of contracts/legal team to ensure timely resolution of requests submitted by firm stakeholders and satisfaction of KPIs/goals set by management.
- Other projects as assigned.
Your Background and Skills
- Juris Doctor degree with five (5) to eight (8) years of relevant experience as a practicing attorney at a law firm and/or as an in-house corporate attorney required.
- Must be in good standing with the Bar of at least one U.S. state.
- Detail-oriented, with excellent organizational skills and ability to prioritize competing deadlines.
- Ability to anticipate and identify issues and strategically weigh risks is key.
- Demonstrated experience drafting, reviewing, negotiating, and advising on a variety of contracts, including negotiation of agreements with clients, vendors and other third parties is required.
- Strong legal research experience dealing with nuanced issues in a variety of practice areas.
- Excellent written and verbal communication and interpersonal skills. Desire to provide excellent and prompt service to firm stakeholders. Ability to communicate complex legal issues and advice to non-legal stakeholders in a concise and thorough manner.
- Ability to work independently and as a team member, and to keep management apprised of matters that require their attention.
- Interest in playing a long-term role within a growing legal department.
- Litigation experience required.
- Professional liability defense experience preferred but not required.
