Watts is looking for an experienced attorney possessing prior experience with contracts, general corporate matters, securities and M&A.

Responsibilities and Duties:
  • Review, draft and negotiate a wide range of contracts, including customer and vendor agreements, R&D and license agreements and product warranties.
  • Provide legal support for the Company's SEC filings, including Section 16 filings (Forms 3/4/5), Annual/Quarterly Reports on Forms 10-K/Q, Current Reports on Form 8-K, Proxy Statements, Form SD, and Registration Statements.
  • Support all legal aspects for domestic and international mergers, acquisitions and divestitures.
  • Oversee subsidiary management and corporate recordkeeping.
  • Advise on relevant corporate governance, investor relations, insider trading and other public company policies and processes.
  • Manage legal aspects of conflict minerals data collection and SEC reporting.
  • Provide support to the Legal Department and/or the Americas business on other legal topics that may come up from time to time, including antitrust, corporate real estate, government contracting and regulatory and commercial matters.

Education:
Law degree (Juris Doctor) from an accredited law school.

Management:

Experience and Required Skills:
  • 5+ years of experience in corporate, securities and M&A matters
  • Experience reviewing, drafting and negotiating a wide variety of commercial agreements and other contracts
  • Large law firm experience highly preferred
  • In-house experience not required but a plus
  • Ability to provide practical legal advice to business personnel at all levels of an organization
  • Strong working knowledge of corporate, contract and federal securities laws
  • Excellent communication skills, both speaking and writing
  • Self-starter with creative mind who takes initiative and ownership of projects while maintaining good communication with his/her supervisor
  • Experience working effectively with senior-level management
  • Team player who is willing to pitch in wherever needed
  • Comfortable and confident in thinking independently and making his/her own decisions
  • Ability to quickly and accurately recognize areas of risk/opportunity
  • Creative thinker with strong problem-solving skills
  • Well-organized and able to work on tight timelines while handling multiple projects
  • Strong collaborator who works well cross-functionally with both legal and business personnel
  • Willingness to travel periodically

Working Conditions:
While performing the job duties, you will be working in an office environment. You will be required to work in the office at the North Andover, MA location three days per week (Monday – Wednesday) and can work remotely two days per week (Thursday and Friday).

The expected salary range for this position is $187,000-206,000 yearly. Actual compensation will be dependent upon individual skills, experience, qualifications, and applicable laws.
