Position Summary:
The Assistant General Counsel will serve as a key member of the Legal Department and a trusted advisor to executive leadership team. Reporting directly to the General Counsel this position will have responsibility for SEC reporting, public company compliance, corporate governance, and securities law matters. The role will also provide support across one or more other substantive areas, including commercial contracting, privacy, employment law, trade compliance, litigation management, and other general corporate legal matters.

This position is ideally suited for an experienced attorney who combines strong public company and securities law expertise with a practical, business-oriented approach to legal problem-solving. The successful candidate will be capable of operating independently on complex matters in all of the global markets we serve while partnering effectively with executives and cross-functional stakeholders.

Key Responsibilities:
SEC Reporting and Public Company Compliance
  • Lead the preparation, review, and coordination of SEC filings, including Forms 10-K, 10-Q, 8-K, Proxy Statements, Section 16 filings, registration statements, and other securities law disclosures.
  • Partner with Finance, Investor Relations, Human Resources, and external advisors to support periodic reporting and disclosure obligations.
  • Coordinate disclosure controls and procedures and assist with compliance related to Sarbanes-Oxley requirements.
  • Advise management regarding SEC regulations, Nasdaq listing requirements, Regulation FD, insider trading restrictions, Rule 10b5-1 plans, and related securities law matters.
  • Support earnings releases, investor presentations, annual shareholder meetings, and other public disclosures.
  • Monitor legal and regulatory developments affecting public companies and recommend implementation of necessary compliance measures.

Corporate Governance and Corporate Secretary Support

  • Assist the General Counsel in supporting the Board of Directors and its committees.
  • Maintain corporate governance documents, committee charters, and corporate policies.
  • Oversee subsidiary governance, entity maintenance, corporate records, and related filing requirements.
  • Support administration of equity plans and executive compensation-related compliance matters.

Other Substantive Areas

  • Draft, review, negotiate, and advise on a wide range of commercial agreements.
  • Advise on privacy and data protection matters, including compliance with applicable U.S. and international privacy regulations.
  • Assist in maintaining and improving compliance programs, policies, training, and internal controls.
  • Advise Human Resources and business leaders on employment-related matters, including employee relations, policy development, workplace investigations, and separation matters.
  • Act as a key backup to the General Counsel on critical legal, governance, and compliance matters.

Qualifications:
Required:
  • Juris Doctor (J.D.) degree from an accredited law school.
  • Active membership in at least one U.S. state bar.
  • 12+ years of legal experience, including substantial experience with public company securities law and SEC reporting.
  • Excellent written, analytical, and communication skills.
  • Demonstrated ability to independently manage sophisticated legal matters.
  • Strong business judgment and practical problem-solving abilities.
  • Comfortable with ambiguity, matters for which you are unfamiliar, and rapid change; you'll be expected to balance speed with legal soundness.

  • Experience supporting a publicly traded technology or semiconductor company.
  • Experience with privacy and data protection laws.
  • Experience advising on employment law matters.
  • Experience dealing with issues of trade compliance.
  • Familiarity with stock administration, executive compensation, and Section 16 compliance.
  • Experience supporting board and committee governance processes.
  • Experience with litigation management.
