The Opportunity:Adobe's Legal and Government Relations (LGR) team partners with business and functional teams to manage the company's legal and government affairs. Sub-teams within the organization include Policy, Compliance, Anti-piracy, Corporate Securities and M&A, Litigation, Intellectual Property, Privacy, Trademarks & Marketing, Employment, Real Estate, Security, Operations and Product and Sales support. Adobe's LGR embraces groundbreaking approaches and best practices to align with Adobe's business needs.
Against this backdrop, Adobe is seeking a Director, Corporate Legal to support key aspects of the company's corporate legal needs, including public company securities disclosure and reporting, executive compensation, supporting Board of Directors and its committees, corporate governance, insider trading compliance, and treasury matters.
Reporting to the VP Corporate Legal, the successful candidate will be a lawyer with strategic and operational expertise in corporate and securities law, and have strong demonstrated intellectual curiosity to develop a deep understanding of our business and products. The successful candidate will also have the ability to communicate effectively , proven success in working cross functionally, and a sharp focus on managing risk with a healthy risk appetite balance.
What You'll Do:
- Work as a key member of the corporate legal team working on a broad range of U.S. securities law matters, including preparation and review of SEC filings (including Forms 10-K, 10-Q and 8-K, registration statements, proxy statements and annual reports), annual stockholder meetings, and related matters (e.g., D&O questionnaires, no-action letters)
- Provide legal advice and support on corporate governance matters, including preparation and review of agenda, materials, minutes/resolutions for Adobe Inc. board and committee meetings, and reviewing and maintaining corporate governance documents, policies and guidelines.
- Provide legal advice and support on executive compensation and equity-related matters, including related disclosure issues.
- Provide legal support on public disclosures (e.g., earnings releases, investor relation presentations) and stockholder engagement.
- Provide legal support for finance/treasury activities, including capital market transactions, credit facilities and stock buyback programs.
- Support insider trading compliance and reporting, including Section 16 filings and 10b5-1 plan matters.
- Provide oversight and legal guidance on subsidiary management matters, including entity maintenance, formation of new entities, restructurings and intercompany agreements
- Monitor, track and advise on potential impacts of new and proposed legal and regulatory requirements with respect to securities and corporate governance matters, including related trends, benchmarking and best practices.
- Develop, implement, document and continually improve corporate and team processes and procedures, including through the use of AI tools and legal technology.
- Manage and mentor a small team of corporate legal professionals, fostering a collaborative, high-performing team culture.
- A JD from a leading law school/university, and at least 12 years of relevant experience at a top law firm and/or in-house legal department, specifically in public company securities reporting, corporate governance and executive compensation.
- Superior relationship management skills with the ability to develop partnerships and relationships throughout the organization as well as with key external collaborators. A proven track record of building and maintaining relationships with other functional leaders and the business.
