What are we looking for?
Synthomer's Group Legal, Corporate Secretarial & Compliance is seeking an Assistant General Counsel to join its team to provide commercially-driven, practical, and solutions-oriented legal advice on a wide variety of matters impacting a publicly traded (London Stock Exchange) multinational specialty chemical manufacturing company. A successful candidate will be highly motivated, able to work independently, have a commercial mindset, and be collaborative with a willingness to learn. This is an exciting and unique opportunity to develop and refine a general counsel skill set and provide legal support on a wide variety of matters including commercial, M&A, corporate, real estate, labor, employment, environmental, and litigation. This position is based in Beachwood, Ohio.

What you'll own in this role:
Primary Responsibilities:
  • Provide legal support to all three global divisions and all functions in the Americas
  • Lead and support commercial legal matters (sales and procurement), including drafting, reviewing, and negotiating agreements, terms and conditions and other documents, and managing and advising on contractual provisions and disputes
  • Lead and support legal aspects of environmental, real estate, labor and employment, and litigation
  • Advising on commercial arrangements including toll/contract manufacturing, logistics and warehousing, agency and distribution matters
  • Assisting in corporate secretarial matters for US and Mexico subsidiaries and coordinating company secretarial support
  • Assisting in all matters relating to corporate governance best practices, risk assessment and internal controls, and regulatory compliance supporting other functions within the business, including Safety, Health and Environment (SHE), Finance, Tax, HR, Operations, Supply Chain, and Innovation.
  • Supporting initiatives, projects and compliance training including code of conduct, competition law, and bribery and corruption matters
  • Assisting with maintaining and managing the insurance program
  • Providing legal and transactional support on any growth initiatives, disposals, internal reorganization, restructuring, expansion and refinancing projects in the Americas
  • Provide support on M&A transactions in the Americas and across the Group
  • Interpreting legal requirements and providing general, ad hoc legal advice to the business
  • Supporting the General Counsel, Americas in other matters as may be assigned from time to time including legal initiatives and projects.

What you'll need to be successful:

  • Juris Doctorate Degree from an accredited law school in the US
  • Licensed to practice law in a US state
  • Minimum 4 years of broad commercial law experience at a law firm or in-house
