Summary:
The Senior Associate General Counsel (AGC) is a senior legal leader and strategic advisor to the business, providing practical, commercially focused legal guidance across the Company's medical device, distribution, products, and kitting businesses. This role will have significant responsibility for complex commercial transactions, strategic market initiatives, group purchasing organization (GPO) strategy and contracting, and legal matters supporting the Company's international operations. This role serves as a strategic advisor to executive leadership and partners cross-functionally to support the company's growth, operational excellence, and risk management in a highly regulated healthcare environment.

Key Responsibilities:
Commercial Contracting & Business Operations
  • Serve as the primary legal partner for the Company's commercial and business development organizations.
  • Lead and support the negotiation, drafting, review, and execution of complex commercial agreements across the Company's distribution, products, and kitting businesses.
  • Advise on a broad range of commercial arrangements, including distribution agreements, supply and purchasing agreements, product agreements, manufacturing and private-label arrangements, kitting and assembly agreements, customer and vendor agreements, strategic partnerships, and other complex commercial transactions.
  • Develop and implement scalable contracting strategies, templates, playbooks, and processes that support efficient deal execution while appropriately managing risk.
  • Partner with Sales, Business Development, Procurement, Supply Chain, Operations, and Finance to structure commercially attractive agreements that align with the Company's strategic and financial objectives.
  • Advise business leaders on contract interpretation, performance obligations, pricing structures, rebates, incentives, indemnification, limitation of liability, termination rights, intellectual property, regulatory requirements, and other key commercial and legal terms.
  • Identify legal and commercial trends that may affect the Company's businesses and proactively recommend solutions.

GPO Strategy & Contracting

  • Serve as a key legal advisor on the Company's relationships and strategy involving Group Purchasing Organizations (GPOs) and other healthcare purchasing organizations.
  • Partner with commercial leadership to develop and execute legal strategies related to GPO participation, contracting, pricing, rebates, administrative fees, compliance obligations, and customer access.
  • Negotiate and oversee GPO agreements and related commercial arrangements, ensuring alignment with the Company's broader customer and market strategies.
  • Advise on the legal and commercial implications of GPO contracting structures and evolving healthcare purchasing models.
  • Collaborate with Sales, Finance, Compliance, and other stakeholders to ensure GPO arrangements are commercially effective and appropriately structured from a legal, regulatory, and operational perspective.

Strategic Markets & Business Initiatives

  • Provide legal leadership and strategic counsel for entry into new markets, expansion of existing markets, and development of new commercial channels.
  • Support strategic initiatives involving new products, services, distribution models, partnerships, and other growth opportunities.
  • Advise senior leadership on legal and commercial considerations associated with market expansion and strategic business decisions.

International Legal Matters

  • Manage international legal team, who serve as the legal advisors for the Company's international commercial operations and business activities.
  • Provide legal counsel on international distribution, supply, product, customer, vendor, and strategic partnership arrangements.
  • Coordinate with local and international outside counsel as needed to address country-specific legal matters.
  • Develop and maintain appropriate legal frameworks and contracting strategies for international markets.
  • Support the Company's international business leaders in identifying and managing legal and commercial risks while enabling growth.
  • Monitor evolving legal and regulatory requirements in key international markets and advise business stakeholders regarding potential impact.

General Legal & Strategic Support

  • Provide practical, timely, and business-oriented legal advice to executive leadership and senior business stakeholders.
  • Partner with other members of the Legal Department to ensure consistent legal strategies, risk management, and contract standards across the organization.
  • Collaborate with Compliance, Regulatory, Quality, Finance, Tax, Human Resources, and other corporate functions on matters with commercial and strategic implications.
  • Perform other duties and responsibilities as assigned.

Leadership & Collaboration

  • Act as a trusted advisor to executive leadership on legal, regulatory, and business risks.
  • Lead, mentor, and develop a high-performing legal team.
  • Collaborate cross-functionally with compliance, finance, procurement, HR, IT, and business units.
  • Manage external counsel and ensure cost-effective legal support.

Qualifications:
Education & Experience:
  • Juris Doctor (JD) from an accredited law school.
  • Active bar membership in good standing.
  • 20+ years of relevant legal experience, including in-house leadership roles within healthcare, distribution, or related industries.

Skills & Competencies:
  • Deep understanding of healthcare regulatory landscape (e.g., HIPAA, FDA, fraud and abuse laws).
  • Proven leadership and team management experience.
  • Strategic thinker with strong business acumen.
  • Exceptional negotiation, communication, and stakeholder management skills.
  • Experience with legal operations and technology tools.

Preferred Qualifications:
  • Experience in high-growth or private equity-backed environments.
  • Background in digital health, healthcare technology, or innovation-driven organizations.
