The Role:
The Vice President, Securities Counsel and Assistant Secretary will occupy a highly visible leadership role in the company. The individual will principally provide legal advice and services to Invitation Homes' executive management and board of directors regarding complex securities, governance, and finance matters. The VP will also partner with the Chief Legal Officer to manage all board activities and work closely with the CEO, CFO, CHRO, and board members in coordinating all aspects of Invitation Homes' corporate governance policies and practices, including keeping current on important trends. The role reports to the Chief Legal Officer and serves as a member of the Legal Leadership Team. The VP will manage paralegal resources and outside counsel.
What You'll Do:
- Substantive review of and responsibility for final preparation of all periodic reports under the 1934 Act (10-K, 10-Q, 8-Ks, etc.) as well as review of registration statements and prospectuses, investor presentations, and related press releases. Primary responsibility for Section 16 compliance and oversight of Forms 3/4/5 filings.
- Work closely with the Chief Legal Officer to plan and consider securities and public disclosure implications as corporate events develop. Primary responsibility for form and content of annual proxy statement.
- Primary responsibility for preparation for meetings of the board of directors and its committees, agenda development, and drafting of minutes, in close coordination with the Chief Executive Officer and the Chief Legal Officer.
- Support Investor Relations, Finance, Communications, and Human Resources (executive compensation and stock-based employee benefit plans).
- Help lead, manage, and mentor a highly productive team of support staff.
- Take lead legal role in connection with capital markets transactions/bank lending facilities. Support Finance and Treasury on derivatives and hedging activities.
- Support Tax in all corporate reorganization/structuring matters.
- Provide general legal advice and counsel regarding securities law matters, corporate governance matters, including NYSE listed company requirements, general corporate matters, and other issues as appropriate.
- Assist the Chief Legal Officer in planning director education topics and new director onboarding.
What you bring:
- 8+ years of securities and governance experience, preferably with some public company in-house experience. Initial training at a top tier law firm is required. Experience in the real estate industry is a plus.
- Outstanding communication and interpersonal skills and experience presenting to executive leadership and board members.
- Extensive familiarity with existing and evolving corporate governance principles.
- Experience with federal securities laws, including Reg. S-K, Reg., S-X, Reg. FD, Reg. G, and applicable SEC '33 Act and ‘34 Act forms.
- Previous leadership experience desired; highly self-motivated with a strong work ethic and ability to meet deadlines.
- Experience operating in a highly visible position; client-focused, must support and facilitate business while driving functional excellence.
- Strong problem-solving abilities and the ability to effectively work with multiple groups and stakeholders and facilitate cross-departmental project teams simultaneously.

Collaborating and Influencing - A lawyer who is centered, secure, and open in his or her relations with peers and subordinates, who enjoys learning from others, and who will be comfortable in this highly visible and hands-on role. The person must have the ability to integrate successfully into the legal department and possess an evident presence with an ego in check and a demonstrated willingness and self-confidence necessary to set forth opinions even in the face of contrary views. Ideally, the person should possess the leadership skills and maturity of legal and business strategic thinking to be a credible candidate to succeed the current Chief Legal Officer should the opportunity arise in the future.
