The Role at a Glance
The Vice President, Legal, Private Market Funds will provide leadership, advice, and subject matter expertise in support of Lincoln's funds and investment advisory businesses and serve as day-to-day legal lead for Lincoln's retail private market (alternative) closed-end funds business. You will develop legal strategy and serve as a key stakeholder to senior business, legal and compliance leaders on all aspects of Lincoln's retail private markets business, including board governance, fund actions and initiatives, applicable legal and regulatory requirements, SEC disclosures, compliance policies, and agreements with third parties. You will also partner with stakeholders across the Lincoln enterprise on initiatives involving Lincoln's retail private market funds business. You will also provide support, as needed, related to the Lincoln funds supporting its variable insurance business.

Ideal Candidate:
  • Serves as day-to-day legal lead in support of Lincoln's retail private market (alternative) funds business.
  • Prepares board materials, engages with internal stakeholders on agenda setting, manages a calendar of board items, engages with independent trustees and counsel for the independent trustees, and actively participates in quarterly and special board meetings.
  • Provides legal advice on current and emerging legal and regulatory requirements, including under the Investment Company Act of 1940 and the Investment Advisers Act of 1940, that are applicable to Lincoln's retail private market funds and its institutional investment adviser.
  • Provides advice and leadership in connection with strategic initiatives, including regarding with regard to the development of new private market funds.

What You'll Be Doing:
  • Provides legal advice on fund registration statements and annual and other regulatory reports, filings and certifications.
  • Provides advice and leadership on applicable agreements, including advisory and subadvisory agreements, consulting agreements, vendor contracts, participation agreements, administrative services agreements, and distribution-related agreements.
  • Counsels business leaders on fund and adviser compliance matters, including policies and procedures.
  • Provides leadership, advice and support as needed in connection with regulatory examinations of the fund complex and the investment adviser.
  • Directs the activities of outside funds counsel and outside counsel to the investment adviser.
  • Provides support, as needed, related to the Lincoln funds supporting Lincoln's variable insurance business (referred to as the Lincoln Variable Insurance Products Trust, or LVIP, funds)
  • Maintains knowledge on current and emerging developments/trends for assigned area(s) of responsibility, assesses the impact, and collaborates with executive/senior management to incorporate new trends and developments in current and future strategies.
  • Leads the identification, development, and implementation of strategic process improvements across the team, business unit, and/or the organization for assigned area(s) of responsibility.
  • Leads and enhances organizational initiatives by positively influencing and supporting change management and/or departmental/enterprise initiatives within assigned area(s) of responsibility.
  • Provides highly specialized expertise and thought leadership to internal/external stakeholders for his/her assigned area(s) of responsibility.
  • Builds organizational capability within his/her assigned area(s) of responsibility.

What We're Looking For:
  • Four-year/bachelor's degree and law degree (J.D. or equivalent) from accredited law school, and 12+ years of relevant experience.
  • Strong knowledge of the Investment Company Act of 1940, the Investment Advisers Act of 1940, the Securities Act of 1933, and related SEC regulations and guidance.
  • Experience with the legal and regulatory requirements applicable to registered closed-end funds.

The pay range for this position is $210,938 - $351,563 with anticipated pay for new hires between the minimum and midpoint of the range and could vary above and below the listed range as permitted by applicable law. Pay is based on non-discriminatory factors including but not limited to work experience, education, location, licensure requirements, proficiency and qualifications required for the role. The base pay is just one component of Lincoln's total rewards package for employees. In addition, the role may be eligible for the Annual Incentive Program, which is discretionary and based on the performance of the company, business unit and individual. Other rewards may include long-term incentives, sales incentives and Lincoln's standard benefits package.
