General Description: Support USI's strategic growth initiatives by working with business units to develop insurance programs, products, and contractual relationships. Draft and negotiate contracts with third parties. Focus on ongoing technological innovations. Ensure execution and improvement of USI's ethical and corporate compliance programs in a changing risk environment. This role reports to the Assistant General Counsel for Risk Management and engages with corporate leadership.Responsibilities:
- Work with USI teams developing proprietary technology and processes to ensure intellectual property protection. Includes leadership, other departments, and outside counsel as needed.
- Manage strategies to protect USI's IP and proprietary information. Direct the data privacy program, investigate incidents, report breaches, and ensure compliance with USI data policies.
- Manage USI's compliance with all relevant laws and regulations for our business segments. Ensure the company follows state and federal laws and industry-specific regulations.
- Work with external stakeholders, regulators, and auditors to ensure the company meets compliance obligations and responds to regulatory inquiries and audits.
- Stay up to date on changes in laws and regulations related to insurance and business operations. Advise management and staff on how these developments impact business operations.
- Work with legal operations to handle aspects of the company's Code of Trust. Includes performing internal investigations into alleged misconduct.
- Oversee conflict of interest policies, including reviewing policy content, updates and annual surveys.
- Coordinate with insurance teams and leadership to develop new products and programs. Includes proprietary policy forms and captive insurance programs.
- Assist in creating tools and training for legal, sales, and other teams. Improve understanding of related legal and compliance issues.
- Manage the contract process for new business relationships.
- Review and draft contracts with vendors and third parties.
- Stay informed on knowledge related to the job function. Participate in industry workshops, review publications. Satisfy CLE obligations and study autonomously.
Knowledge, Skills and Abilities:
- 7-10 years of experience including experience representing insurance brokers in an in-house or outside counsel capacity.
- Juris Doctor (J.D.) degree from an accredited law school required. Member to at least one State Bar.
- Experience related to compliance and risk management in the insurance brokerage industry.
- Exceptional understanding of the insurance industry and the relevant laws and regulations.
- Working knowledge of Microsoft Office suite, including Outlook, Word, PowerPoint, and Excel.
- Experience working with matter management platforms preferred.
- Must be extremely detail oriented with a focus on accuracy.
- Exceptional organizational skills with ability to manage multiple projects and priorities.
