Job Summary:
Responsible for providing legal advice, counsel, and representation to Prisma Health on significant transactions and other strategic initiatives impacting the entire enterprise. Serves in a leadership role by providing proactive, practical, and timely legal support, including marshalling and providing direction to internal and external attorneys and legal staff, subject matter experts, and other resources to drive transactions and other initiatives to completion. Serves as a corporate generalist handling various matters affecting Prisma Health's business operations, including corporate governance, contract negotiation and drafting, and real estate matters. Identifies, develops, and implements process improvements within the Legal Department and will supervise the Legal Department paralegals and other non-attorney staff as assigned.

  • Provides proactive, practical, timely, and sound legal advice, counsel, and representation on significant corporate transactions and other strategic initiatives across the enterprise.
  • Provides direction and assistance with the process, coordination, and project management of transactions and other strategic initiatives.
  • Serves as a rapid-response resource for Prisma Health leadership on legal issues impacting Prisma Health's corporate strategy and goals as they arise on a daily basis; exercises sound judgment in escalating major/critical issues to CLO and/or DGC and/or involving other Prisma Health attorneys with relevant expertise in responding to questions/issues.
  • Performs in-depth legal research and analysis for transactions and other strategic initiatives and communicates findings and guidance to the responsible Prisma Health leaders effectively; directs and assists other internal and external Prisma Health attorneys and paralegals in undertaking assigned research tasks.
  • Spearheads the legal support for and coordination of pre-closing matters on assigned transactions and deals (LOI development, due diligence, contract negotiation and drafting, etc.) and provides support to internal and external Prisma Health attorneys who are advising on transactions.
  • Ensures executives and senior management are kept apprised of the status of significant legal projects and alerted to any potential roadblocks or concerns.
  • Works as a generalist supporting core corporate functions—including in the areas of corporate governance, commercial transactions, and real estate; assists the CLO and DGC in coordinating internal and external legal resources to meet Prisma Health's corporate legal needs.
  • Leads Prisma Health's prosecution or defense of significant business litigation matters as assigned by the CLO; coordinates and manages outside legal counsel support on assigned litigation matters to guide strategy toward effective and efficient resolution of disputes and claims.
  • Supervises, mentors, and directs the paralegals and other non-attorney staff (as assigned by the CLO) of the Prisma Health Legal Department.
  • Performs other duties as assigned.

Supervisory/Management Responsibilities
Job has direct and/or indirect supervision of team members that may include final budget authority, hire/termination authority, performance appraisal responsibility and disciplinary authority. Job will be considered a member of management staff at Prisma Health and will have direct reports.

Minimum Requirements:
  • Education - Juris Doctor from an accredited school of law
  • Experience - Ten (10) years of healthcare/legal related experience
