The Vice President, Ethics, Compliance & Litigation will support and enhance the legal and regulatory compliance functions of our organization and manage the company's global docket of litigation matters. Reporting directly to the Chief Legal Officer, the Vice President, Ethics, Compliance and Litigation will provide strategic guidance, oversight, and legal expertise across a wide range of areas, ensure compliance with laws and regulations, manage litigation, and mitigate risks on an enterprise-wide basis.
Work mode: Remote with international and domestic travel: Approximately 25%
Specific Responsibilities:
Ethics & Compliance:
- Oversees the management of the Company's Compliance Program's global policies and the Code of Conduct; develops new global policies as necessitated by legislature or regulatory changes; provides guidance to leadership and employees.
- Collaborates with other functions by providing guidance and support to develop other Company policies which may overlap or intersect with the Company's Compliance Program.
- Monitors the adherence to compliance policies and procedures and recommend disciplinary measures, when necessary.
- Oversees the investigation and evaluation of allegations of policy and legal violations.
- Conducts root cause analyses when necessary and develop and ensure implementation of corrective action plans.
- Provides quarterly reporting on key trends and issues which may be developing, such as in specific locations or in specific functional areas.
- Drives accountability and awareness throughout the Company emphasizing that all employees are responsible for reporting an allegation if they become informed of or become aware of an allegation.
- Oversees identification, assessment and mitigation of risks associated with third-party relationships.
- Collaborates with business units to understand third-party risks and ensure alignment with third-party risk policies and screening outcomes.
- Assesses and communicates risk management strategies and updates to senior leadership and other key stakeholders.
- Designs and develops company-wide training, engagement and communication strategy for compliance initiatives including activities such as messaging, websites, town halls, workshops, newsletters.
Litigation:
- Manages a wide array of litigation matters on a worldwide basis.
- Monitors, manages, and reviews work and expenditures by outside counsel and third-party advisors to ensure quality, value, and efficacy of legal and advisory services.
- Creates and delivers reports on litigation, compliance and risk to the company's risk and audit committees.
Other:
- Participates in due diligence and integration activities for mergers, acquisitions, and divestitures.
- Drives continuous improvement and superior performance.
- Oversees all regulatory authority inquiries, including but not limited to investigations, subpoenas, and requests for information.
- Leads and manages a remote diverse team of legal and compliance professionals.
Requirements:
- A Juris Doctor degree from an accredited law school required. Must be admitted to the bar (or equivalent) and in good standing in the jurisdiction of practice.
- 15+ years of legal experience with a corporate legal department or reputable law firm. Proven track record in handling complex compliance and litigation matters.
- Prior experience managing a global compliance program.

The Salary range for this position is $206,000.00-$270,350.00.The specific Salary rate offered to a candidate may be influenced by a variety of factors including the candidate's experience, their education, and the work location.
