Primary Purpose:
  • The Vice President & Deputy General Counsel, Compliance & Ethics is an executive leader with broad governance and oversight responsibility across the enterprise for maintaining compliance with regulatory and legal obligations, Exelon's Code of Business Conduct, and other company policies. This leader serves as Exelon's Chief Compliance and Ethics Officer and NERC Chief Compliance Officer enhances the design and execution of strategic and tactical programs to reduce and manage the risk of violating laws and regulations applicable to Exelon, and ensures that the Board of Directors, management, and employees understand and adhere to Exelon's Code of Business Conduct.
  • Reporting to the EVP, Chief Legal Officer, Compliance and Corporate Secretary, this role oversees the corporate NERC and TSA Gas Compliance Programs, the Compliance & Ethics investigation program, the compliance risk assessment process, and other compliance-related programs. This leader is the senior orchestrator of a cross-functional compliance community—partnering with Legal, Human Resources, Internal Audit, Security, and Safety —to promote and sustain a culture of compliance.

Note: This is a hybrid position (in-office with remote flexibility). Employees are required to be in office at least three days per week (Tuesday, Wednesday, and Thursday). This position must sit out of our Chicago - IL, Philadelphia - PA, Baltimore - MD or Washington - DC office. This position is not eligible for relocation assistance.

The Compliance & Ethics function protects the enterprise by setting clear standards, effective controls, and transparent reporting across all operating companies and corporate functions.
  • The Vice President & Deputy General Counsel, Compliance & Ethics is accountable for delivering against three enterprise outcomes:
  • Program Integrity: Establish and maintain a best-in-class ethics and compliance framework, standards, and controls that reduce enterprise risk and reinforce adherence to laws, regulations, the Code of Business Conduct, and other Exelon policies.
  • Oversight and Investigation: Deliver rigorous oversight and investigation so leadership, the Exelon Board and its committees, and the Boards of Exelon's operating companies can exercise effective, well-informed governance.
  • Culture of Compliance: Advance a company-wide culture in which every leader and employee is expected to understand, embrace, and act on Exelon's compliance and ethics standards and expectations.

Primary Duties:
  • Compliance Framework & Standards : Oversee establishment, implementation, and periodic reassessment of company-wide compliance standards and policies. Maintain awareness of evolving regulatory standards and external developments relevant to Exelon's compliance risks.
  • Compliance Training, Communications, and Counseling : Oversee the design and implementation of company-wide compliance training and communications, including support of role-based compliance training. Provide counsel to executives, directors, and employees regarding compliance and ethics issues.
  • Oversight of Interactions with Public Officials : Oversee compliance with Exelon's policies related to interactions with public officials, including implementation of compliance controls and periodic reassessment of policy requirements.
  • NERC and TSA Gas Compliance : Oversee the activities of the corporate NERC and TSA Gas compliance teams to ensure compliance with NERC and TSA Gas compliance requirements. Oversee the NERC and TSA Gas Legal team's provision of legal advice and representation of Exelon's Registered Entities.
  • Ethics Reporting and Investigations : Oversee the intake, tracking, investigation, and analysis of confidential ethics reports through company-wide reporting tools. .
  • Compliance Risk Assessments : Oversee annual compliance risk assessments to evaluate and report on compliance risks, mitigating measures, and recommendations for improvement.
  • Board and Executive Reporting : Report to executive management, Exelon's Board of Directors and its committees, and the Boards of Directors of Exelon's operating companies, regarding the operation of the compliance program, significant compliance incidents, developments, and trends, and opportunities for improvement.
  • Team Leadership : Select, direct, develop, coach, and evaluate staff to ensure the efficient and effective operation of the department.

Job Scope
  • Enterprise accountability for the compliance and ethics program across all operating companies and corporate functions, including standard-setting, investigation, and Board-level reporting.
  • Independent decision-making authority and accountability for the direction of the compliance program, exercised with sound judgment and objectivity.
  • Ownership of enterprise compliance standards: the compliance framework, monitoring and assurance activities, investigation protocols, privacy and records-management governance, and FERC Standards of Conduct compliance.
  • Primary owner of ethics and compliance oversight, compliance risk assessments, Code of Business Conduct training, and Board and committee reporting.
  • Trusted advisor to the EVP, Chief Legal Officer, Compliance and Corporate Secretary, executive management, and the Board on ethics, compliance, and conflict-of-interest matters.

Leadership:
The VP builds and leads a high-performing ethics and compliance organization, providing governance, oversight, and assurance across the enterprise through:
  • Business-Unit Compliance Performers: Provide governance and oversight over performers of compliance obligations and subject-matter experts responsible for NERC and other specific compliance functions across the operating companies.
  • Privacy & Records Management: Direct governance and oversight of the privacy compliance program and the corporate records management functions of the company and its subsidiaries.
  • Ethics Reporting & Investigations: Oversee the confidential ethics reporting tools and the intake, investigation, and disposition of matters, coordinating with HR, Internal Audit, Legal- Labor & Employment, Safety, and Security.
  • Enterprise Leadership Expectations
  • Partner closely with the Chief Legal Officer and executive leadership to connect ethics and compliance to enterprise strategy and risk management.
  • Bring executive judgment and objectivity to sensitive ethics and compliance matters—balancing rigor with fairness and consistency.
  • Coach and develop talent across the Compliance & Ethics team
  • Represent Exelon credibly with the Executive Committee, Board, Audit and Risk Oversight Committees, regulators, and external stakeholders as required.
