Description:We are looking for a highly skilled and strategic General Counsel to serve as the chief legal advisor to the property General Manager and senior management team. This role is responsible for overseeing all legal affairs, ensuring regulatory compliance, managing litigation, and mitigating risk across the property's operations. The ideal candidate is a proactive conceptual thinker with outstanding judgment and a proven track record in complex transactional law, employment matters, and litigation management.
Essential Job Functions:
- Advise the property General Manager and senior management on all legal matters.
- Complimentary privileges within prescribed limits in accordance with the approved Comp Matrix
- Responsible for effectively advising senior management as well as interfacing operationally concerning compliance with regulatory requirements.
- Serve as primary legal contact for the property human resources department and provide information and advice relating to complex employment law and practices.
- Oversee and maintain responsibility for the company's litigation portfolio and provide litigation support by drafting responses and position statements for all legal transactions and litigation including harassment and discrimination charges and unfair labor practices.
- Negotiate and/or review commercial contracts, leases, and agreements with management concerning effectiveness and potential or actual problems.
- Review and suggest updates to company policies, procedures and handbook as a means of reducing risk to the company.
- Assist in the coordination of filings and other communications with certain state and federal regulatory agencies.
- Select and manage outside counsel as needed, including review of invoices and authorization for payment based on approved billing standards.
- Oversee the risk management department and all insurance claims and matters.
- Represent the company in legal matters.
- Coordinate and prepare witnesses for arbitrations and agency investigations where appropriate.
- Compose and prepare confidential correspondence, reports and other complex documents.
- Performs all other duties as assigned.
Qualifications (Knowledge, Skills, and Abilities):
- Law Degree from ABA approved law school/Member of Pennsylvania Bar.
- 7-10 + years' experience in the area of general transactional practice, with an emphasis on drafting and negotiating complex commercial agreements including, but not limited to, agreements with general service providers, and agreements with OEMs.
- Exposure and general understanding of the following areas: Intellectual Property, Litigation and Litigation Management; Regulatory; Real Estate; Labor and Employment.
- Excellent drafting and negotiating skills; ability to lead a team as well as roll up your sleeves and work independently.
- A conceptual thinker with strong vision, judgment and intellect with ability to work quickly on and prioritize a wide variety of projects.
- Strong interpersonal skills and the ability to work well with team members at all levels of the company.
- Must be able to work in a fast-pace environment with quick deadlines, multiple demands and the constantly shifting needs of very busy operating subsidiaries.
- Handles detailed, complex concepts and problems, balances multiple tasks simultaneously, and makes rapid decisions regarding health and welfare issues.
- Plans and meets deadlines. Maintains a flexible work schedule to meet the demands of executive management. Hours can be long and irregular, must possess the ability to work flexible shifts and days of the week including holidays.
