Polsinelli is seeking a highly qualified and motivated mid-level associate to join our national Venture Capital & Emerging Growth Companies group. This role is open to our Dallas, Boston, and New York offices. Interested candidates should have excellent academic credentials, experience in a law firm or similar environment and superior writing, communication, and problem-solving skills.

Candidates should have 3+ years of experience advising on sophisticated corporate and transactional matters, including venture and growth financings, corporate governance, mergers and acquisitions, joint ventures, private equity, capital markets, and other complex corporate transactions, with meaningful exposure to emerging growth companies and venture capital.

This role supports a nationally recognized Venture & Growth Capital practice advising emerging companies, venture funds, and growth-stage investors, particularly in the technology, life sciences/biotech, and consumer products sectors. The associate will represent both companies and investors in venture and growth equity transactions, draft and negotiate NVCA-based and bespoke financing documents, advise on governance and capitalization matters, and collaborate with M&A, IP, tax, and regulatory teams on complex venture-backed transactions. Ideal candidates will bring strong drafting skills, sound business judgment, and the ability to manage multiple matters in a fast-paced, entrepreneurial environment; experience beyond traditional technology practices, especially life sciences, is welcomed.

Compensation: Salary will range between $250,000 – $435,000, depending on experience. A discretionary bonus may also be available based on performance.
