Job Description:The CIB Americas Legal Department is a strategic partner to the business and is dedicated to providing effective and efficient legal advice and counsel for the CIB Americas Platform. The CIB Americas Legal Department ensures that the CIB Americas platform's business benefit from effective legal advice and potential legal risks are properly evaluated. As part of its internal legal coverage, the CIB Americas Legal Department coordinates all external counsel engagements.
Natixis is looking for an experienced attorney to join the Legal Department to provide legal and regulatory advice with respect to the following Natixis CIB Americas business lines: debt capital markets (investment grade debt, program issuances, high yield bonds and US private placements), structured equity capital markets (structured equity transactions, secondary share sales and IPOs) and Natixis/BPCE treasury/issuance programs for US funding. This role will also offer exposure to securitization transactions, structured notes issuances, equity derivatives, and transactional broker-dealer regulatory matters. Experience across SEC-registered and 144A transactions desired with a strong grounding in US securities laws. The attorney candidate will join a 23-person legal team and should have the flexibility to address a diverse array of transactions and regulatory matters across the range of capital markets transactions.
The attorney will be responsible for providing advice and guidance for a variety of capital markets transactions. The primary areas of responsibility will be:
- Drafting, reviewing and advising on debt and equity capital markets documentation across SEC registered, 144A, Regulation S, 3a2/3a3 and private placements generally; willingness to support securitization, structured notes, equity derivatives and issuance programs as needed under the supervision of senior coverage attorneys for each respective area.
- Working with the business team and support functions on transaction structuring and new product development;
- Partnering with Legal and Compliance teams in New York and Paris/London to navigate US broker-dealer, US security law issues for international offices;
- Working closely with Front Office, Compliance, Risk Management and other stakeholders on a variety of capital markets and securitization transactions and initiatives, including legal colleagues in New York, London, Hong Kong and Paris to assist with or coordinate multi-jurisdictional, cross-border legal documentation and due diligence.
- Taking all necessary steps to ensure a proper understanding of legal risks incurred by the relevant business lines and providing appropriate solutions in order to control and reduce legal risks;
- Coordinating with the Head Office and other locations to promote transparency and consistency in approach;
- Proactively managing external counsel as needed, conducting thorough legal analyses, and contributing to the New Product Committee, ensure robust coverage and understanding of legal risks in capital markets activities. Continuously collaborate with external counsel and Credit Risk, Compliance, Market Risk, and Operations groups and escalate legal risks associated with capital markets activities to the relevant stakeholders and senior management.
Qualifications:
- JD or LLM degree.
- Minimum 5-7 years of experience at a large financial institution and/or at a law firm.
- Solid verbal and interpersonal skills a must. Skillful written communication is necessary; the ability to convey thoughts clearly and succinctly and to communicate pertinent complex information in a clear and organized manner.
- Strong analytical and organizational skills.
- The ability to manage multiple priorities, working under pressure to meet deadlines, and the ability to respond creatively and quickly in a fast-paced and changing environment.
- Self-motivated with the ability to work independently while understanding when to involve other team members as needed and to work effectively in a team environment.
- High degree of integrity and strong work ethic. Timely follow through on commitments. Promote best practices within department as execute assigned duties and enhance control over procedures.
- Knowledge of French is preferred but not required.
- Bar admission in New York.

Qualified candidates must be admitted to the bar of the State of New York as an active member in good standing or registered (or qualified to register) as in-house counsel under the Rules of the Court of Appeals of the State of New York. NY bar candidates may also be considered
