Key Responsibilities:
Corporate (M&A, Entity Structuring, Investments)
- M&A Transactions: Structure, negotiate, and document strategic equity acquisitions and joint ventures in fintech and payment companies, focusing on investor rights and governance protections.
- Due Diligence: Conduct thorough due diligence on fintech investment opportunities, reviewing financial statements, contracts, and regulatory compliance.
- Governance and Restructuring: Advise on corporate governance, entity formation, and restructuring for ISOs, PayFacs, and fintech startups, including board composition and shareholder protections.
- Regulatory Compliance: Ensure compliance with securities laws, fiduciary duties, and investor disclosure obligations under SEC regulations and state Blue Sky Laws.
- Draft, Review, and Negotiate Agreements: Draft, review, and negotiate merchant processing agreements (MPAs), ISO agreements, payment gateway agreements, and PayFac sponsorship agreements, ensuring compliance with industry regulations and risk management provisions.
- Residual Buyout Transactions: Structure residual buyout transactions, ensuring the legal enforceability of payment revenue transfers, assignment rights, and protections against post-sale disputes.
- Data Security and Compliance: Draft Service-Level Agreements (SLAs), data security addendums, and vendor contracts with payment processors and technology providers, incorporating data security, service standards, and liability limitations.
- Risk Mitigation Strategies: Develop strategies to mitigate financial risks, including chargeback liability, indemnification clauses, and fraud protection provisions, while ensuring enforceability of non-compete and non-solicitation clauses to protect client relationships and proprietary business interests.
- Regulatory Frameworks: Advise on federal and state payment industry regulations, including EFTA, TILA, BSA, and state money transmission laws, ensuring compliance in electronic payments and consumer disclosures.
- Consumer Protection: Ensure compliance with consumer protection laws enforced by the CFPB, FTC, DOJ, and state attorneys general, including UDAP rules and financial advertising laws.
- AML/KYC Obligations: Guide fintech companies on AML/KYC obligations under BSA and FinCEN regulations, ensuring adherence to consent, disclosure, and opt-out requirements.
- Compliant Financial Policies and Disclosures: Develop compliant financial policies and disclosures, including terms for digital wallets, Buy Now Pay Later (BNPL) services, ACH transactions, telemarketing scripts, and online payment platforms, ensuring transparency and adherence to federal and state financial laws.
Qualifications:
Required:
- J.D. and active bar membership (Florida, California, New York, or another major jurisdiction preferred).
- Transactional legal experience with a focus on corporate structuring, securities compliance, contract negotiation, and regulatory matters.
- 4-5+ years of transactional/contracts experience.
- Strong background in drafting and negotiating investment agreements, shareholder agreements, operating agreements, and commercial contracts.
Desirable:
- Prior experience in payments law or familiarity with ISO, PayFac, PSP, and payment processor business models.
- Experience advising fintech companies, investors, or merchant acquiring businesses on regulatory and transactional matters.
- Work at the forefront of payments law, advising high-growth fintech companies, ISOs, payment processors, and financial institutions on complex transactional and regulatory matters.

- Experience in payments/FinTech, banking, or complex contract disputes is a plus but not required; we will train the right litigator in our niche.
