Description:
RS Law Group, LLC is seeking a Corporate & Transactional Attorney with 5+ years of experience advising businesses on contracts, corporate governance, and complex transactions, including real estate deals.This role is ideal for an attorney who is comfortable working independently, enjoys direct client interaction, and is interested in building a long-term platform within a firm that values entrepreneurial thinking, practical lawyering, and strong client service.
The Role:
- Drafting, negotiating, and advising on complex commercial contracts.
- Leading real estate and business transactions, including asset purchases and stock purchases; business acquisitions and divestitures; agreements of sale, strategic partnerships and joint ventures; and deal structuring and risk allocation.
- Advising on corporate compliance and governance, including entity formation and restructuring; operating agreements, bylaws, and shareholder agreements; corporate recordkeeping and ongoing compliance; and ownership changes and internal disputes.
- Supporting clients in resolving disputes arising from contracts and business transactions, including pre-litigation strategy and demand letters; dispute resolution during deal fallout; and coordination with litigation counsel and oversight of litigation posture.
- Communicating directly with clients, evaluating business needs, and providing practical legal guidance.
What We're Looking For:
- 5+ years of corporate, transactional, and contract-focused experience.
- Meaningful experience overseeing deals, including real estate transactions.
- Strong contract drafting and negotiation skills (ability to run matters independently).
- Experience advising business owners and executives directly.
- Comfort handling or supervising disputes arising out of failed deals, broken contracts, governance issues, and ownership transitions.
- Strong work ethic, responsiveness, and ability to manage multiple active matters independently.
- Pennsylvania Bar admission (or eligibility) preferred.
Business Development (Preferred)
- This role is well-suited for an attorney who already has client relationships and wants a better platform to grow.
- A portable book of business is preferred but not required. We are also open to attorneys who are motivated to develop business, build client relationships, and expand their practice with firm support.
