Your Impact:
Provide legal counsel regarding complex transactional matters. Negotiate and draft service contracts and address confidentiality matters. Provide legal counsel on real estate matters. Work directly with the Chief Legal Officer and Investment staff on a variety of investment legal and regulatory matters.

Essential Duties:
  • Legal guidance on compliance with procurement policy (analyze procurement method, review RFPs, recommendations and award letters)
  • Negotiate and draft service contracts, amendments, change orders and renewals, including identifying business, legal and risk issues
  • Manage confidentiality matters, including reviewing non-disclosure agreements and Access to Public Records Act (APRA) requests and responses
  • Counsel on real estate matters, including negotiating and drafting leases, property management matters, insurance, tax exemption filings and addressing liability concerns
  • Manage global custody arrangements to ensure securities and tax compliance in foreign jurisdictions
  • Draft Investment Management Agreements and amendments for various public equity and fixed income separate accounts
  • Manages legal due diligence for alternative investments, including reviewing offering documents, completing subscription documents, negotiating side letters and MFN elections
  • Legal review various investment regulatory matters relating to Sudan & Terror States, AML, FINRA, CFTC
  • Legal review of alternative fund governance matters (i.e., LPA consents and amendments for private equity funds and hedge funds)
  • Securities litigation monitoring, including a review of INPRS securities losses, evaluating class action claims, recommendations regarding INPRS' participation level, evaluation of amicus brief opportunities, directing outside counsel in case management, preparing monitoring reports for INPRS leadership.
  • Periodic training to assist non-legal staff in issue spotting potential business, legal, compliance or risk issues.
  • Legislative recommendations to ensure transactional efficiency and risk reduction.
  • Compliance liaison for various transactional and regulatory matters (e.g., interpretations for compliance with Investment Policy Statement, monitoring placement agent fees, etc.)
  • Conduct legal research, analyze legal issues and preparation of legal memoranda as may be directed by Transaction Counsel
  • Act as primary lead attorney on all technology and information security matters
  • Manages ethical issues and report to the Chief Legal and Compliance Officer
  • Carry out other legal duties as assigned by the Executive Director, Chief Legal and Compliance Counsel or Senior Transaction Attorney

Job Requirements:
  • Excellent contracting skills and attention to detail
  • Excellent organizational and time management skills
  • Self-starter and strong desire to learn
  • Real estate experience
  • Investment or securities law experience
  • Experience with pension concepts a plus

Experience And Qualifications:
  • Bachelor's degree
  • JD degree
  • Admission to the Indiana Bar
  • 5 + years of experience
