The Dallas and Atlanta offices of Reed Smith are seeking a Junior or Mid-Level Associate to join the Technology Transactions group. Candidates should have 2-4 years of experience with corporate and commercial matters involving technology and intellectual property. A strong emphasis is placed on drafting and analysis of complex issues. Example contracts that the associate will negotiate include SaaS and other cloud-based Agreements, Software License Agreements, Professional and Master Services Agreements, Outsourcing Agreements, Supply Agreements, Distribution and Reseller Agreements, Manufacturing Agreements, and other, bespoke, complex, technology-based commercial transactions. Candidates should also have experience evaluating and advising on IP and tech issues that arise in general corporate transactions, such as merger and acquisition, carve-out and spin off, and private equity. Such issues may include diligence related to chain of title, inbound and outbound licenses, open-source software, artificial intelligence, and US data processing matters, as well as assistance with relevant transaction documents. $235,000 - $310,000. This represents the presently-anticipated low and high end of Reed Smith's pay range for this position. Actual pay may vary based on various factors, including but not limited to location and experience.
